This Creators Agreement (“Agreement”) is a legally binding contract between you (“Creator,” “you”) and FansClique, owned and operated by Meritearn Ltd (“FansClique,” “we,” “our,” or “us”).

By registering as a Creator, uploading content, or otherwise using FansClique’s services, you expressly acknowledge that you have read, understood, and agree to be bound by this Agreement, as well as FansClique’s Terms of Service, Privacy Policy, Community Guidelines, Payout Policy, and all other applicable policies, which are incorporated herein by reference.

Violation of this Agreement may result in suspension, termination of your account, forfeiture of earnings, and/or legal action.

1. Introduction and Acceptance of Terms

This Agreement governs your use of FansClique as a Creator. By uploading or distributing content, you agree to comply fully with this Agreement and all incorporated policies. If you do not agree, you must not register or upload content to FansClique.

2. Eligibility Requirements

To qualify as a Creator on FansClique, you must:

Be at least 21 years old; or over the age of consent in your jurisdiction.
Provide valid, government-issued identification for age and identity verification;
Reside in a jurisdiction where use of FansClique does not violate local laws and regulations; and
Maintain an active and compliant account in good standing.

FansClique reserves the right to deny or revoke Creator access if eligibility requirements are not met.

3. Content Ownership and Licensing

Ownership: You retain full ownership of the content you create and upload.
License to FansClique: By uploading content, you grant FansClique a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, display, distribute, promote, and use your content solely in connection with operating, promoting, and improving FansClique.
Promotional Use: FansClique may use your content in marketing materials, promotions, or campaigns to increase your visibility.
Monetization Access: Fans will access your content in accordance with the monetization settings you select (e.g., subscriptions, pay-per-view, paid DMs, livestreams).

This license continues until your content is removed from FansClique, except to the extent such content has been shared, distributed, or otherwise used prior to removal.

4. Prohibited Content and Activities

FansClique maintains a zero-tolerance policy against prohibited content and activities. As a Creator, you may not upload, create, or promote content that:

Involves or depicts minors (anyone under 18 years of age), including simulated or fictional depictions.
Promotes or depicts sexual exploitation, non-consensual acts, coercion, assault, or simulated rape.
Depicts or encourages self-harm, suicide, or dangerous conduct.
Promotes illegal drug use or the misuse of prescription drugs.
Depicts or promotes extreme violence, firearms in threatening contexts, terrorism, or hate groups.
Depicts incest, bestiality, necrophilia, or other exploitative or abusive acts.
Involves bodily waste (“scat,” urination, or similar content) presented in a sexual context.
Constitutes revenge porn or any non-consensual sharing of private material.
Promotes escorting, solicitation, or prostitution services.
Involves harassment, bullying, threats, or hate speech targeting individuals or groups.
Attempts to bypass FansClique systems, including off-platform solicitation for payments or engagement.

Violation of these prohibitions will result in immediate account suspension or termination and may trigger referral to law enforcement authorities.

5. Compliance with Legal and Regulatory Standards

Creators must comply with all applicable laws and regulations, including but not limited to:

Copyright and Trademark Laws: Do not upload copyrighted material without authorization.
DMCA Compliance: FansClique complies with the Digital Millennium Copyright Act (DMCA) and will remove infringing content upon receipt of valid notices.
Record-Keeping Requirements: Where applicable, you are responsible for maintaining records that verify the age and consent of individuals appearing in your content.
Privacy and Data Laws: If you process personal data (e.g., fan information), you must comply with applicable privacy laws, including the GDPR.

Failure to comply may result in legal liability and account termination.

6. Monetization and Revenue Distribution

FansClique provides multiple monetization options, including subscriptions, pay-per-view, tips, paid DMs, and livestream tips.

Revenue Split: Creators receive 75% of all net earnings from their content. FansClique retains 25% as a platform fee to support operations, security, and development.
Payouts: Payouts are processed in accordance with FansClique’s Payout Policy, subject to minimum withdrawal thresholds and compliance checks.
Chargebacks/Disputes: FansClique reserves the right to adjust payouts in cases of refunds, chargebacks, or fraudulent transactions. Creators are financially responsible for losses caused by chargebacks linked to their activity.

7. User Engagement and Community Guidelines

Creators must interact respectfully with fans and comply with FansClique’s Community Guidelines, which prohibit:

Harassment, abuse, or offensive behavior;
Spamming, excessive solicitation, or repetitive posting;
Soliciting fans for off-platform payments or services.

FansClique encourages positive and professional engagement at all times.

8. Intellectual Property Rights

Creators must respect third-party intellectual property rights.

Upload only content you own or are licensed to use.
Do not infringe upon copyrights, trademarks, or other IP rights.
FansClique will act upon valid DMCA notices and may suspend repeat infringers.

Creators may submit a counter-notice if they believe a takedown was in error.

9. Content Moderation and Enforcement

FansClique reserves the right to monitor and review Creator activity to maintain compliance.

Content Review: Content may be reviewed manually or via automated tools.
Enforcement: Violations may result in removal of content, account suspension, or termination. Enforcement decisions are final.
Reporting: Users may report content or conduct for review by FansClique’s moderation team.

10. Account Suspension and Termination

FansClique may suspend or terminate a Creator’s account for:

Repeated or serious violations of this Agreement or other policies;
Fraudulent activity or attempts to manipulate earnings;
Conduct that poses a legal, reputational, or operational risk to FansClique.

Upon termination, unpaid earnings may be forfeited at FansClique’s discretion.

11. Indemnification and Limitation of Liability

You agree to indemnify, defend, and hold harmless FansClique, Meritearn Ltd, and their officers, employees, and agents against all claims, damages, losses, or expenses arising from:

Content you upload;
Your conduct on the platform;
Breaches of this Agreement.

FansClique provides its services “as is” and disclaims all warranties to the maximum extent permitted by law. FansClique shall not be liable for indirect, incidental, or consequential damages.

12. Amendments to Agreement

FansClique may update or modify this Agreement from time to time. Significant changes will be communicated to Creators, and continued use of the platform constitutes acceptance of the updated Agreement.

13. Governing Law and Dispute Resolution

This Agreement is governed by the laws of England and Wales. Disputes shall be resolved through binding arbitration or courts of competent jurisdiction in the United Kingdom, unless otherwise required by law.

1 Introduction and Acceptance of Terms

This Agreement governs your use of FansClique as a creator. By uploading content, you agree

to adhere to this Agreement and all platform policies, including but not limited to the Terms of

Use, Privacy Policy, and Community Guidelines

2. Eligibility Requirements

To be a creator on FansClique, you must:

- Be at least 21 years old and able to provide valid government-issued identification for age

verification.

- Reside in a jurisdiction where content creation on FansClique does not violate local laws.

3. Content Ownership and Licensing

As a creator, you retain ownership of the content you create and upload. However, by sharing

content on FansClique, you grant the platform a non-exclusive, worldwide, royalty-free

license to use, display, distribute, and promote your content within FansClique.

- License for Promotion: FansClique may use your content for marketing and promotional

activities to increase visibility and attract users.

- Permissions for FansClique: Your content will be accessible to fans in accordance with your

monetization settings (e.g., subscriptions, pay-per-view).

4. Prohibited Content and Activities

FansClique is committed to maintaining a safe and respectful environment. As a creator, you

agree not to create, upload, or distribute content that includes or promotes the following

prohibited materials:

- Minors: Content involving individuals under the age of 18, including simulated or fictional

depictions.

- Guns & Violence Promotion: Content that glorifies, encourages, or incites violence, or

displays firearms in a threatening manner.

- Drugs: Content promoting illegal drug use or the misuse of prescription drugs.

- Self-Harm: Content depicting or encouraging self-harm, suicide, or dangerous behaviors.

- Incest: Content involving or simulating incestuous relationships, regardless of consent.

- Bestiality: Content involving sexual activities with animals.

- Lack of Consent: Any depiction of non-consensual acts, including assault, coercion, or

simulated rape.

- Necrophilia (“Necro Stuff”): Content depicting sexual activities with deceased individuals,

real or simulated.

- Bodily Waste (“Poo & Pee Stuff”): Content involving or depicting bodily waste in a sexual

context.

- Revenge Porn: Content shared without consent that exposes or intends to harm individuals.

- Escorting: Content promoting, soliciting, or offering escorting services.

- Bullying and Harassment: Content intended to demean, insult, or harass specific individuals

or groups.

5. Compliance with Legal and Regulatory Standards

As a creator, you agree to comply with all applicable laws, including but not limited to:

- Copyright and Trademark Laws: Do not upload copyrighted or trademarked content unless

you have permission or own the rights.

- USC 2257 Compliance: For any adult content, you must maintain appropriate records

verifying the age of all individuals depicted, in compliance with USC Title 18, Section 2257.

- GDPR and Data Privacy Laws: Ensure that any personal data you collect or handle complies

with data protection regulations, particularly if you operate within the EU or process data of EU

residents.

6.Monetization and Revenue Distribution

FansClique provides multiple avenues for monetization, including subscriptions, pay-per-view,

tips, and paid direct messages.

- Revenue Split: Creators receive 75% of all earnings from their content, with the remaining

25% allocated to platform fees.

- Payouts: Earnings will be available for withdrawal once they meet minimum payout

thresholds, as specified in the Payout Policy

- Chargebacks and Disputes: FansClique may adjust payouts if transactions are disputed or

refunded. Creators are responsible for any chargebacks resulting from fraudulent or disputed

transactions.

7. User Engagement and Community Guidelines

Creators are expected to engage respectfully with fans and adhere to FansClique’s Community

Guidelines, which prohibit:

- Harassment: Refrain from making offensive, demeaning, or harmful comments to fans.

- Spam: Avoid repetitive messages, unsolicited promotions, or excessive posting of similar

content.

- Solicitation for Off-Platform Engagement: Do not solicit fans to engage outside of

FansClique for services or personal interactions.

8. Intellectual Property Rights

As a creator, you are responsible for ensuring that all content you upload is your original work or

that you have acquired the necessary rights to share it. FansClique will take action against

- Respecting Third-Party IP: Do not upload content that infringes on the intellectual property

rights of others.

- Responding to DMCA Notices: FansClique complies with the Digital Millennium Copyright

Act (DMCA). Creators will be notified if their content is removed due to copyright claims and will

have the opportunity to respond with a counter-notice if applicable.

9. Content Moderation and Enforcement

FansClique reserves the right to monitor, review, and remove any content that violates this

Agreement, other platform policies, or applicable laws.

- Content Review: FansClique employs automated and manual review processes to detect and

address prohibited content.

- Enforcement Actions: FansClique may take enforcement actions, including content removal,

account suspension, or termination, based on violations. Decisions regarding content

moderation are final.

10. Account Suspension and Termination

FansClique may suspend or terminate creator accounts for violations of this Agreement, the

Community Guidelines, or other policies. Grounds for termination include, but are not limited to:

- Repeated Violations: Engaging in prohibited activities or uploading prohibited content on

multiple occasions.

- Fraudulent Activity: Engaging in fraudulent behavior, including manipulating earnings or

using fake accounts.

- Serious Violations: Engaging in activities that pose a severe risk to other users or the

integrity of the platform, such as promoting illegal activities or harmful content.

11. Indemnification and Liability

As a creator, you agree to indemnify, defend, and hold harmless FansClique, its affiliates,

directors, officers, employees, and agents from and against any claims, liabilities, damages,

losses, and expenses arising from:

- Content You Upload: Any legal claims, including copyright or privacy claims, arising from

your content.

- Your Conduct: Any actions taken by you that violate this Agreement, other platform policies,

or the rights of a third party.

- Breach of Agreement: Any breach of these terms that results in loss, damage, or liability to

FansClique.

12. Amendments to Agreement

FansClique reserves the right to amend this Agreement at any time to reflect changes in

platform policies, legal requirements, or operational practices. Creators will be notified of any

significant changes, and continued use of FansClique constitutes acceptance of the updated

terms.
