Welcome to FansClique! This Terms of Use (“Terms”) constitutes a legally binding agreement
between you and Mediagaze Limited, owner and operator of FansClique. These terms of use'
policy cover your access to and use of the platform, incorporating a wide range of policies,
standards, and guidelines that ensure compliance with international regulations and safeguard
the community.

By accessing FansClique, you agree to these Terms and any policies and guidelines referenced
within, including but not limited to the Acceptable Use Policy, Privacy Policy, creators
agreement, Creators and Fans Contract, DMCA, USC policies and Community Guidelines.

Please read these Terms carefully. If you do not agree to any part of these Terms, please
discontinue your use of FansClique immediately.

By registering an account or using any part of the FansClique platform, you agree to abide by

Misrepresentation of age or identity will result in immediate suspension or termination.

3. Account Registration and Security

Upon creating an account on FansClique, you agree to provide accurate, complete, and up-to-
date information. You are responsible for:

- Maintaining Account Security: Safeguard your login details and promptly notify FansClique
of any unauthorized access.
- Account Liability: You are liable for all actions taken under your account.
- Compliance with Terms: Failure to comply with these Terms or other platform policies may
result in account suspension or termination.

4. User Responsibilities and Acceptable:

The Acceptable Use Policy outlines standards for user behavior to maintain a safe and
respectful environment on FansClique.

4.1 Prohibited Activities

You agree not to engage in the following activities:

- Illegal or Harmful Activities: Posting or sharing illegal content, including but not limited to
child sexual abuse material (CSAM), bestiality, and hate speech.
- Infringement: Posting content that infringes on intellectual property rights.
- Fraudulent Behavior: Attempting to manipulate the platform, commit fraud, or impersonate
others.
- Spam and Misuse: Posting spam, unauthorized advertisements, or repetitive comments.

4.2 Prohibited Content: Minors, CSAM, Prostitution, and Sex Trafficking

FansClique is dedicated to providing a safe and lawful platform. We enforce strict standards and
zero tolerance for illegal or harmful content, including but not limited to content involving minors,
CSAM, prostitution, and sex trafficking. Violating these policies will result in severe
consequences, including content removal, account termination, and potential legal action.

4.3 Minors

- Platform Age Restrictions: FansClique is exclusively for users over the age of 18. Creators
must be at least 21 years old. Anyone found to have falsified age verification or accessed the
platform as a minor will be permanently banned, and their data may be retained for legal
compliance purposes.

- Content Restrictions Involving Minors: FansClique prohibits any content that includes
minors in any capacity, including:

- Sexual Contexts: Any content that depicts or implies sexual activity involving minors is
strictly prohibited.
- Non-Sexual Depictions with Sexual Undertones: Content that sexualizes minors, including
clothing, language, or innuendo that suggests a sexual context, is forbidden.
- Simulated or Fictional Depictions: FansClique does not allow simulated, animated, or
fictional content that depicts minors in any sexual or sexually suggestive scenarios.

4.4 Adult Content

- Permissible Adult Content: FansClique allows adult content that involves consensual, lawful
interactions between adults. Creators must ensure that all individuals involved are of legal age
and have provided explicit consent.

- Age Verification and Record-Keeping: Creators are required to verify the age of all
individuals depicted in adult content and must maintain records proving age verification. Content
found to be mislabeled, involving underage individuals, or violating these terms will be removed,
and creators may face account termination and legal repercussions.

- Content Labeling and Categorization: All adult content must be accurately labeled as such
and be categorized appropriately. Creators should use platform tools to ensure that their content
is accessible only to users of legal age in their respective jurisdictions.

4.5 Child Sexual Abuse Material (CSAM)

FansClique has a zero-tolerance policy for CSAM. We take every measure to prevent,
detect, and report any instances of CSAM in compliance with global regulations.

- Definition and Scope: CSAM includes any visual representation of sexually explicit activities
involving minors. This applies to all media formats, including images, videos, digital animations,
drawings, or any other form of depiction.

- Detection and Reporting: FansClique employs both automated tools and manual reviews to
detect CSAM. We are committed to cooperating fully with law enforcement authorities, including

reporting any suspected CSAM to the National Center for Missing and Exploited Children
(NCMEC) and relevant local authorities.

- Immediate Termination and Legal Action: Accounts found to be involved in the creation,
sharing, or consumption of CSAM will be terminated immediately. FansClique will also report
individuals involved to law enforcement for further investigation and prosecution.

- Prohibition of Suspicious Content: In addition to explicit CSAM, content that suggests,
implies, or alludes to the sexual exploitation of minors, such as “Lolita” content or other
depictions that sexualize underage individuals, is prohibited.

4.6 Prostitution and Sex Trafficking

FansClique prohibits all forms of prostitution, sex trafficking, and content that promotes or
facilitates these activities. This prohibition reflects our commitment to user safety and
compliance with global anti-trafficking laws.

- Definition and Scope: Prostitution refers to the exchange of sexual services for payment or
other considerations. Sex trafficking involves the exploitation of individuals for commercial sex
acts through coercion, force, or deception. Both are strictly prohibited on FansClique, regardless
of local laws where such activities might be legal.

- Content and Communications:
- Prohibited Solicitations: Content or communications that imply, suggest, or explicitly offer
sexual services in exchange for money or other goods are not allowed. This includes any coded
language, symbols, or indirect references that may be interpreted as solicitation for prostitution.
- Escorting and “Sugar Baby” Content: FansClique does not permit content that advertises
or promotes escorting services or other relationships where financial transactions for
companionship imply sexual services. Similarly, content that discusses or promotes
arrangements commonly associated with “sugar baby” relationships is prohibited if it includes
or implies sexual services.

- Detection and Enforcement: FansClique employs monitoring tools and community reporting
mechanisms to detect and prevent prostitution and sex trafficking. Any content or accounts

found to be involved will be removed, and details will be shared with law enforcement where
necessary.

4.5 Prohibited Content and Activities

In addition to the specific prohibitions regarding minors, CSAM, prostitution, and sex trafficking,
FansClique does not allow the following types of content and activities on the platform:

- Illegal Drug Use: Content that promotes the use of illegal drugs, the abuse of prescription
drugs, or other substance abuse is prohibited. FansClique is committed to providing a safe
environment free from the encouragement of harmful behaviors.

- Violence and Promotion of Guns: Content that glorifies or encourages violence, including
the display of firearms in a threatening or irresponsible manner, is strictly forbidden.

- Self-Harm and Suicide: FansClique does not permit content that depicts, encourages, or
glorifies self-harm, suicide, or other forms of personal harm. This includes depictions of self-
mutilation, dangerous stunts, or any other content likely to incite harm.

- Incest and Bestiality: Content depicting or implying incestuous relationships or sexual acts
involving animals is strictly prohibited, even in fictionalized or simulated formats.

- Lack of Consent: Content that involves or implies non-consensual activities, including but not
limited to sexual assault, coercion, or simulated rape, is not allowed. FansClique is dedicated to
promoting consent and respectful interactions.

- Bodily Waste Content: Content involving human bodily waste, including urine and feces, in a
sexual context is banned.

- Revenge Porn and Unauthorized Sharing: FansClique prohibits the sharing of private or
intimate images or videos without the consent of those depicted. This includes any content
intended to harm, embarrass, or expose individuals without their permission.

4.7 Enforcement, User Responsibility, and Reporting Mechanisms

FansClique enforces these standards rigorously, with specific protocols in place for detection,
reporting, and legal compliance.

- Proactive Monitoring: FansClique uses a combination of automated systems and manual
reviews to detect prohibited content. This includes monitoring for keywords, flagged images,
and suspicious behavior patterns.

- Immediate Account Actions: Accounts found in violation of these policies will be immediately
suspended or terminated. FansClique reserves the right to permanently ban users and retain
data for law enforcement if necessary.

- Legal Compliance and Cooperation: FansClique complies with all applicable laws, including
data retention and reporting requirements, and fully cooperates with law enforcement authorities
in investigations related to prohibited content.

- Reporting Protocols for Users: Users who encounter content involving minors, CSAM,
prostitution, or sex trafficking are urged to report it immediately through FansClique’s reporting
tools or by contacting [email protected]. All reports are treated with confidentiality, and
FansClique takes prompt action on all reported violations.

4.8 User Responsibility and Acknowledgment

By using FansClique, users acknowledge their understanding of and responsibility to uphold
these standards. Violating these policies may result in legal action beyond platform
enforcement, including criminal prosecution for those involved in CSAM, prostitution, or sex
trafficking.

4.9 User Conduct

FansClique users must:

- Treat all users with respect and avoid harassment, discrimination, and bullying.
- Refrain from attempting to reverse-engineer, tamper with, or hack platform services or data.
- Not use FansClique for non-permitted commercial purposes or unauthorized gatherings
outside the platform.

5. Content Ownership and Intellectual Property

Users retain ownership of content uploaded to FansClique. By posting content, you grant
FansClique a **non-exclusive, worldwide license** to:

- Distribute and display content within the platform.
- Use content for promotional activities.
- Make content accessible to other users according to your settings.

5.1 Intellectual Property Infringement

All content must respect third-party intellectual property rights. Users are prohibited from:

- Uploading copyrighted material without permission.
- Posting content containing trademarks or logos owned by others without authorization.
- Using FansClique for unauthorized distribution of pirated or stolen content.

FansClique reserves the right to remove infringing content and terminate accounts that
repeatedly violate intellectual property rights.

6. Monetization Models and Payment Terms

FansClique offers various monetization opportunities for creators, including:

6.1 Subscriptions

Creators can offer subscription-based content, granting exclusive access to fans. FansClique
retains a 20% platform fee, with creators receiving the remaining 80% of all revenue.

6.2 Pay-Per-View (PPV) Content

Creators can designate certain content as PPV, allowing fans to access it for a one-time fee.

6.3 Tips and Paid Direct Messages (DMs)

Fans can tip creators or engage in paid DMs. The platform maintains a default DM pricing
threshold, allowing flexibility for fan engagement.

6.4 Revenue Distribution and Payouts

Earnings are deposited into creator accounts, available for withdrawal once minimum payout
thresholds are met. FansClique reserves the right to withhold payments if Terms are violated or
fraudulent activities are detected.

7. Creators and Fans Contract

The Creators and Fans Contract is a binding agreement that outlines expectations and
responsibilities specific to creators and fans on FansClique.

7.1 Creator Responsibilities

Creators are expected to:

- Ensure all content complies with Community Guidelines and platform standards.

- Accurately represent themselves and their content.
- Abide by all applicable laws, including copyright and trademark laws.

7.2 Fan Responsibilities

Fans are expected to:

- Engage respectfully with creators.
- Not attempt to negotiate terms outside of the platform.
- Avoid attempting to meet creators outside of FansClique.

8. Digital Millennium Copyright Act (DMCA) Compliance

FansClique respects intellectual property rights and complies with the **DMCA**. Users may

8.1 Submitting a DMCA Notice

Users may report copyright violations by submitting a formal DMCA notice, including:

- Identification of the copyrighted work and the infringing material.

Creators must provide verifiable proof of age for all individuals depicted in adult content.
FansClique maintains records as required by law.

9.2 USC 2252 and 1460 Compliance

FansClique prohibits obscene content and content depicting minors in sexual activities.
Violators will be reported to appropriate authorities and face immediate account termination.

10. Analytics Features and Data Handling

FansClique provides creators with access to anonymized analytics data, allowing them to
optimize content and understand audience engagement.

10.1 Types of Analytics Provided

- Content views, likes, and comments.
- Demographic breakdown, such as location and age.
- Revenue metrics for monetized content.

10.2 Data Anonymization and Privacy Protection

All analytics data is aggregated and anonymized. Creators are prohibited from attempting to de-
anonymize user data or misuse analytics.

11. Subscription and Pricing Structure

FansClique uses a clout-based pricing model that adjusts pricing based on creator
engagement levels. Creators with higher social media influence may access Super Creator
Status, which allows for increased pricing flexibility.

11.1 Refund and Cancellation Policies

- Refunds: Refunds are not generally offered for subscriptions, tips, or DMs unless due to
platform technical issues.
- Cancellations: Fans can cancel subscriptions at any time, with access continuing until the end
of the billing period.

12. Short Stories, Livestreams, and Interactive Features

FansClique offers unique features like Short Stories, Livestream Rings, and Teaser Reels to
enhance engagement.

12.1 Short Stories

- Creators can post short stories that fans can engage with using paid DMs and tips.
- Short stories appear temporarily in users’ feeds, offering a dynamic content experience.

12.2 Livestream Rings

- FansClique showcases live content as “rings” on the home page, increasing discoverability
and user engagement.
- Fans can tip creators in real-time during livestreams.

12.3 Discovery Page and Teaser Reels

- The Discovery Page features a YouTube style video slider with teaser reels, offering creators a
marketplace to attract new fans.
- Both regular and Super Creators can appear in the Discovery Page, with Super Creators
highlighted with a gold badge.

13. Creators Agreement

The Creators Agreement outlines the rights and responsibilities specific to content creators on
FansClique.

13.1 Content Ownership and Licenses

- Creators retain ownership of their content but grant FansClique a non-exclusive license to use,
display, and promote the content on the platform.
- FansClique may use creators’ content for marketing and promotional activities, with
appropriate attribution.

13.2 Compliance with Laws and Policies

- Creators are responsible for ensuring that their content complies with all applicable laws,
including copyright and USC requirements.
- Creators agree not to upload prohibited content and must obtain necessary permissions from
all individuals featured in their content.

13.3 Monetization Rules and Payments

- Creators agree to the revenue-sharing structure and acknowledge that FansClique retains a
20% platform fee on all earnings.

- Payouts are subject to minimum thresholds, and creators are responsible for any taxes
applicable to their earnings.

13.4 Accountability and Reporting Violations

- Creators must accurately represent themselves and their content, adhering to all platform
policies.
- FansClique may suspend or terminate creator accounts found in violation of the Creators
Agreement or other platform rules.

15. Cookies, Tracking, and Data Collection

FansClique uses cookies and tracking technologies to personalize your experience and provide

services or escorting is banned.

- Bullying & Harassment: Content that demeans, insults, or harasses individuals or groups
based on personal characteristics or identities is prohibited.

- Voyeurism, Creep Shots, and Hidden Cam: Content that involves observing, recording, or
depicting others without their consent, including creep shots, hidden cam footage, upskirting,
downblousing, and spy cam content, is strictly forbidden.

- Non-Consensual Porn: Any content depicting sexual acts without the clear, explicit consent
of all parties involved is prohibited.

- Trolling: Content intended to provoke, offend, or incite negative reactions, including trolling, is
not allowed.

- Copyright Infringement: Unauthorized use of copyrighted materials, such as music, videos,
or images, is prohibited. FansClique enforces DMCA compliance.

- Prostitution & Sex Trafficking: Content that promotes or facilitates prostitution, sex
trafficking, or related activities is strictly banned.

- Other Illegal or Harmful Activities: Content that involves fraud, impersonation, threats, or
other activities that are illegal, harmful, or exploitative is not permitted.

FansClique enforces these standards rigorously, with specific protocols in place for detection,
reporting, and legal compliance.

17. Account Suspension, Termination, and Appeals

FansClique may suspend or terminate accounts that violate these Terms, Community
Guidelines, or applicable laws.

17.1 Grounds for Suspension or Termination

- Repeated Violations: Users or creators who repeatedly violate platform policies.
- Fraudulent Activity: Including attempts to manipulate earnings, impersonate others, or
commit fraud.
- Prohibited Conduct: Harassment, abuse, or violation of Community Guidelines.

17.2 Appeals Process

- Users may appeal suspensions or terminations by contacting FansClique’s support team.
- Appeals will be reviewed, and decisions will be final.

18. Complaints, Violations, and Reporting Mechanisms

FansClique provides a straightforward process for reporting content violations, user misconduct,
or other concerns.

- Report Content: Users may report content through built-in reporting tools.
- Handling Complaints: FansClique aims to address complaints within a reasonable time
frame, following thorough review.

19. Dispute Resolution, Arbitration, and Governing Law

This section outlines the process for resolving disputes between FansClique and its users and
the applicable legal framework.

19.1 Governing Law

These Terms, and any disputes arising out of or related to them, shall be governed by the laws
of Nigeria, without regard to its conflict of laws principles. Users agree that these laws will
govern any interactions with FansClique and that any claims or legal proceedings must be
brought in the courts of Nigeria .

19.2 Binding Arbitration

For any disputes that cannot be resolved informally, users agree to submit to binding arbitration:

- Arbitration Rules: The arbitration will be conducted in accordance with the [Nigeria laws and
Arbitration Rules and administered by local constitutional provisions. The rules of the arbitration
institution will govern the arbitration process.
- Location: The arbitration will be held in Nigeria, or conducted virtually if both parties agree.
- Arbitrator’s Authority: The arbitrator has exclusive authority to resolve any dispute relating to
the interpretation, applicability, enforceability, or formation of these Terms.
- Final and Binding: The arbitrator’s decision will be final and binding, with no appeal rights,
except as provided under applicable laws.

19.3 Class Action Waiver

Users agree to resolve any disputes on an individual basis. Class actions, class arbitrations, or
representative actions are not permitted.

FansClique reserves the right to bring legal action in any court of competent jurisdiction to seek
injunctive or equitable relief for matters related to intellectual property infringement,
unauthorized access to the platform, or other serious breaches of these Terms.

20. Limitation of Liability and Indemnification

To the fullest extent permitted by law:

- Direct Damages Only: FansClique’s liability for direct damages shall not exceed the total
amount of fees paid by the user to the platform in the twelve months preceding the claim.
- Exclusion of Certain Damages: FansClique will not be liable for any indirect, incidental,
special, consequential, or punitive damages arising from or related to the use of the platform,
including but not limited to loss of revenue, loss of data, or business interruption, even if
FansClique has been advised of the possibility of such damages.

20.2 No Warranty
FansClique makes no warranties, express or implied, regarding the platform’s availability,
accuracy, or suitability for any purpose. Users acknowledge that they access and use the
platform at their own risk.

20.3 Indemnification
Users agree to indemnify, defend, and hold harmless FansClique, its affiliates, directors,
officers, employees, and agents from and against any claims, liabilities, damages, losses, and
expenses, including reasonable attorneys’ fees, arising from:

- User Content: Any content posted, shared, or otherwise made available on the platform by
the user.
- User Conduct: Any actions taken by the user that violate these Terms, applicable laws, or the
rights of a third party.
- Breach of Terms: Any breach by the user of these Terms or other platform policies.

20.4 Force Majeure

FansClique shall not be liable for any failure to perform due to causes beyond its reasonable
control, including acts of God, war, terrorism, embargoes, government regulations, fires, floods,
earthquakes, power outages, or failure of the internet or telecommunications

This disclaimer outlines important limitations and disclosures regarding FansClique’s services,
including payment processing, third-party integrations, and affiliate programs. By using
FansClique, you acknowledge and agree to the following terms:

21.1 General Disclaimer
FansClique is a digital content-sharing platform where users can create, share, and monetize
content. FansClique does not guarantee the accuracy, reliability, or suitability of any user-
generated content, and does not endorse the views expressed by users.

- Content Responsibility: FansClique is not liable for the accuracy, legality, or appropriateness
of content posted by users. Users are solely responsible for the content they upload, and
FansClique disclaims all liability for any harm resulting from user interactions or content.

21.2 Payment Gateway and Transaction Disclaimer
FansClique utilizes third-party payment gateways to process all financial transactions. By
participating in transactions on FansClique, users acknowledge and agree to the following:

- Third-Party Services: FansClique is not responsible for errors, delays, or security issues
related to third-party payment processors. Users engaging in transactions may be subject to
additional terms from these third-party services, which FansClique does not control or oversee.
