1. Introduction & Acceptance
Welcome to FansClique a digital marketplace platform . These Terms of Service ("Terms") govern your access to and use of the FansClique platform ("Platform"), owned and operated exclusively by Mediagaze Limited, a company incorporated in England and Wales under Company No. 16645155, with its registered office at 61 Bridge Street, Kingston, HR5 3DJ, United Kingdom ("Mediagaze", "FansClique", "we", "us", or "our").
By creating an account, subscribing to a Creator, or otherwise using the Platform, you agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease all use of FansClique.
FansClique is a subscription-based digital content platform enabling independent creators ("Creators") to share exclusive content with subscribers ("Subscribers" or "Fans") and to monetise that content through subscription fees, pay-per-view content, tips, paid direct messages, and other engagement-based revenue models. Mediagaze Limited acts as a platform provider, facilitating interactions and payments between Creators and Subscribers.
FansClique does not produce, commission, or take editorial responsibility for Creator content. All content uploaded to the Platform is the sole responsibility of the Creator who created it.

2. Definitions
In these Terms, the following words have the meanings given below:
- "Account" — the registered user profile required to access the Platform.
- "Chargeback" — a reversal of a payment initiated by a payment provider following a subscriber dispute.
- "Commission" — the 25% platform fee retained by FansClique from Creator gross earnings.
- "Content" — any text, video, image, audio, or other material uploaded, published, or shared by a Creator or Subscriber.
- "Creator" — a registered user who uploads, publishes, and monetises Content on the Platform.
- "Data Protection Laws" — the UK Data Protection Act 2018, the UK General Data Protection Regulation (UK GDPR), and all other applicable privacy laws.
- "Fan" or "Subscriber" — a registered user who pays to access Creator Content on the Platform.
- "Gross Earnings" — all amounts received from Subscribers before deduction of the Commission.
- "KYC" — Know Your Customer identity verification checks required to confirm user identity.
- "Net Earnings" — Gross Earnings minus the 25% Commission and any applicable payment processor fees.
- "Payment Provider" — CCbill, Paxum, or any other regulated financial services company processing transactions on the Platform.
- "Platform" — the FansClique service, including its website at fansclique.com, any mobile applications, and all associated backend infrastructure.
- "User" — any person accessing the Platform, whether as a Creator, Subscriber, or visitor.
3. Eligibility
To use FansClique, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction if higher;
- Have the legal capacity to enter into a binding agreement under applicable law;
- Not be barred from using digital services under any applicable law, sanctions regime, or regulatory restriction;
- Provide accurate, complete, and current registration information; and
- Not have been previously suspended or permanently banned from FansClique.
We reserve the right to request age and identity verification documents at any time. Failure to provide satisfactory documentation may result in suspension or termination of your account.
4. Account Registration & Security
4.1 Accuracy
You agree to provide truthful, complete, and current information when registering and to keep that information updated at all times. Providing false information is a material breach of these Terms.
4.2 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You must immediately notify us at [email protected] if you suspect any unauthorised access to your account. Mediagaze Limited is not liable for losses arising from unauthorised account use where you have failed to take reasonable security precautions.
4.3 Creator Verification (KYC)
All Creators must complete identity verification (KYC) before any withdrawal or payout is permitted. Verification requires government-issued photo identification, proof of address, and valid payment account details. Additional checks may be requested to meet AML/KYC obligations. Incomplete or failed verification will result in withdrawal delays or account suspension.
4.4 One Account Per User
Each natural person may hold only one active account. Duplicate, fictitious, or fraudulent accounts will be terminated without notice.
5. Creator Obligations
5.1 Content Ownership & Licensing
Creators retain full ownership of all original Content they upload. By uploading Content, Creators grant Mediagaze Limited a worldwide, non-exclusive, royalty-free, sublicensable licence to host, display, reproduce, distribute, and promote that Content solely for the purposes of operating and promoting FansClique. This licence terminates when the Content is removed, except where retention is required by law, to resolve disputes, or to enforce these Terms.
5.2 Content Standards
All Content must comply with the FansClique Acceptable Use Policy, these Terms, and all applicable laws. Creators are solely responsible for ensuring their Content is lawful, consensual, and does not infringe third-party rights.
5.3 INDEPENDENT CREATOR
Fansclique acts solely as a venue for independent creators, creators are not employees, agents or partners of Mediagaze Limited each creator is responsible for their own tax compliance and 18 U.S.C and 2257 record keeping
5.4 Consent Documentation
Where Content features persons other than the Creator, the Creator must obtain and retain clear, documented, informed consent from every such person before upload. Creators must maintain records sufficient to verify the age (18+) and consent of all persons featured, consistent with 18 U.S.C. 2257 where applicable. FansClique may request evidence of consent compliance at any time.
5.5 Prohibited Content
The following categories of Content are absolutely prohibited and will result in immediate account termination and referral to law enforcement:
- Any Content depicting, simulating, or involving persons under the age of 18 in any sexual or exploitative context;
- Non-consensual, coerced, or revenge-sharing content;
- Content glorifying or facilitating violence, terrorism, or extremism;
- Content involving incest, bestiality, or necrophilia;
- Hate speech targeting any person or group based on a protected characteristic;
- Content promoting or facilitating money laundering, fraud, trafficking, or other illegal activity;
- Doxxing, blackmail material, or harassment of any person.
5.6 Accuracy & Transparency
All Creator pricing, promotional claims, and content descriptions must be accurate and not misleading. Deceptive subscription structures or false claims about content will result in enforcement action.
6. Subscriber Obligations
6.1 THE "IMMEDIATE ACCESS" WAIVER
Upon successful payment, the User receives immediate access to the digital content. The User expressly acknowledge and agrees that ehe right of withdrawals (cooling-off period) is waived once the content is delivered. This sale is final.
6.2 Respectful Conduct
Subscribers must interact respectfully with Creators and other users. Harassment, abuse, unsolicited contact, and threats are prohibited and may result in immediate account termination.
6.3 Authorised Use
Subscribers may access Creator Content for personal, non-commercial viewing only. Subscribers are strictly prohibited from downloading, copying, screenshotting, recording, redistributing, or reselling Creator Content outside the Platform without explicit written authorisation from the Creator.
6.4 Payment Obligations
Subscribers agree to pay all applicable subscription fees, PPV charges, and tips using valid, authorised payment methods. Unauthorised chargebacks, fraudulent payment disputes, or abuse of the payment system may result in immediate account suspension and recovery of disputed amounts.
6.5 Cancellation Rights (UK Consumers)
By accessing digital content (including subscription content, PPV, or tips) upon purchase, you expressly request immediate delivery and acknowledge that you lose your 14-day statutory cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 upon delivery. Where content has not yet been accessed, cancellation rights may apply in accordance with applicable law. Refunds are otherwise at FansClique's discretion except where required by law.
7. Payments, Revenue & Financial Terms
7.1 Revenue Model
Creators earn revenue through subscriptions, tips, PPV content, paid direct messages, and other monetised features. FansClique retains 25% of all Gross Earnings as a platform fee covering hosting, technology, compliance, and payment processing. Creators receive 75% Net Earnings, subject to payment processor fees and applicable tax withholding.
7.2 Payouts
Payouts are processed to verified accounts or payment methods supported by our licensed Payment Providers. Minimum payout thresholds may apply by region. Payout frequency (weekly, bi-weekly, or monthly) depends on the applicable Payment Provider arrangement. Payouts are issued only after successful KYC verification.
7.3 Currency & Exchange Rates
Transactions may be processed in multiple currencies. Exchange rates are determined by Payment Providers at the time of conversion. Mediagaze Limited is not responsible for currency fluctuations or conversion fees applied by banks or Payment Providers.
7.4 Payout Holds
Mediagaze Limited may delay or freeze payouts where identity verification is incomplete, suspicious or fraudulent activity is suspected, a user is subject to sanctions screening, or a Payment Provider requests a compliance review. Funds under active investigation will be held until resolution. Mediagaze is not liable for losses caused by compliance-related payout delays.
7.5 Refunds & Chargebacks
All purchases are final subject to statutory rights. Chargebacks initiated by Subscribers may result in: (a) deduction of disputed amounts from the Creator's balance; (b) suspension of the Creator's account pending review; and (c) additional verification requirements. Creators must cooperate with dispute resolution and provide proof of content delivery.
7.6 Tax Obligations
Creators are solely responsible for declaring and paying all applicable taxes on their FansClique earnings, including income tax, VAT, or equivalent obligations in their jurisdiction. Mediagaze does not provide tax advice. Where required by law, Mediagaze may withhold or deduct amounts and issue relevant tax reporting documentation.
8. Anti-Money Laundering & Counter-Terrorist Financing
Mediagaze Limited complies fully with the UK Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017, the Proceeds of Crime Act 2002, the Terrorism Act 2000, and applicable FATF guidance. The following is a summary of our AML/CTF obligations and user responsibilities.
8.1 Prohibited Transactions
Users must not use FansClique to:
- Launder funds or disguise the origin of any payment;
- Finance terrorism, extremist groups, or any illegal activity;
- Circumvent international sanctions (OFAC, UK HMT, EU, UN);
- Engage in structuring transactions to avoid reporting thresholds;
- Use stolen, fraudulent, or third-party payment instruments.
8.2 Monitoring & Reporting
All transactions are subject to automated and manual monitoring. Suspicious activity will be investigated and may be reported to the UK Financial Conduct Authority (FCA), National Crime Agency (NCA), HMRC, or other regulators via Suspicious Activity Reports (SARs). Users will not be notified of such reports, as required by law.
8.3 Sanctions Screening
All users and transactions are screened against the UK HMT Sanctions List, OFAC SDN List, EU Consolidated Sanctions List, and other applicable lists. Accounts linked to sanctioned persons or territories will be immediately suspended.
8.4 User Cooperation
By using FansClique, you agree to fully cooperate with all AML/KYC checks. Failure to comply may result in account suspension, forfeiture of earnings, and termination.
9. Content Moderation & Enforcement
9.1 Platform Moderation
Mediagaze Limited employs a combination of automated tools and human moderation to enforce these Terms and the Acceptable Use Policy. We reserve the right to review, remove, or restrict any Content at our sole discretion where we determine it violates applicable standards.
9.2 Enforcement Timescales
Upon identification or report of a potential violation:
- Child sexual abuse material (CSAM): removed immediately upon detection and reported to the Internet Watch Foundation (IWF) and National Crime Agency (NCA) within 24 hours;
- Other prohibited content: reviewed within 48 hours of report; removed if in violation;
- Disputed content: reviewed within 5 business days with outcome communicated to reporter.
9.3 Account Actions
Enforcement actions available to Mediagaze include: content removal, content restriction, account warning, temporary suspension, permanent termination, withholding of funds, and referral to law enforcement. Actions are proportionate to the severity of the violation.
9.4 Reporting
Users may report suspected violations to [email protected]. All reports are reviewed by our Trust & Safety team. Reporters may request a follow-up outcome notification.
10. Intellectual Property
10.1 Platform IP
The FansClique platform — including its software, website, mobile applications, logos, trademarks, branding, designs, code, databases, and all associated intellectual property — is owned exclusively by Mediagaze Limited and protected under UK, EU, and international intellectual property law. No User is granted any right, licence, or interest in FansClique's intellectual property except as expressly stated in these Terms.
10.2 Creator Content
Creators retain full copyright ownership of their original Content. The licence granted to Mediagaze in Clause 5.1 is the only right Mediagaze holds in Creator Content. FansClique does not claim ownership of Creator Content.
10.3 Subscriber Content
Comments, messages, and other user-submitted content remain the intellectual property of the Subscriber, subject to a limited licence granted to Mediagaze to display and operate such content within the Platform.
10.4 DMCA Compliance
FansClique complies with 17 U.S.C. § 512 (DMCA) and the UK Copyright, Designs and Patents Act 1988. Copyright holders may submit takedown notices to [email protected]. Counter-notifications may also be submitted to the same address. FansClique operates a three-strike repeat infringer policy resulting in permanent account termination on the third validated infringement.
11. Third-Party Services
FansClique integrates with third-party services including payment processors, identity verification providers, cloud hosting, and analytics tools. Your use of those services is subject to their own terms and policies. Mediagaze is not responsible for the performance, errors, or privacy practices of third-party providers. Mediagaze does not store full credit or debit card details — all such data is handled by Payment Providers under their own security protocols.
12. Disclaimers
FansClique is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Mediagaze Limited makes no warranty of any kind regarding the Platform, including warranties of fitness for a particular purpose, merchantability, reliability, uninterrupted access, or data security beyond reasonable industry standards. Nothing in this clause limits Mediagaze's liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
13. Limitation of Liability
13.1 Consequential Loss
Subject to Clause 12, Mediagaze Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the Platform.
13.2 Direct Loss — Commercial Users (Creators)
For Creator accounts (commercial relationships), Mediagaze's total aggregate liability for direct losses shall not exceed the greater of: (a) £500 GBP; or (b) the total Commission paid by that Creator to FansClique in the 12 months preceding the claim.
13.3 Consumer Rights Preserved
Nothing in this clause limits the statutory rights of Subscribers who are consumers under the Consumer Rights Act 2015, the Consumer Contracts Regulations 2013, or other applicable consumer protection law.
13.4 No Earnings Guarantee
FansClique provides monetisation tools but does not guarantee any specific level of income, audience size, or financial success for Creators. Earnings depend solely on Creator performance and subscriber engagement.
14. Indemnification
You agree to defend, indemnify, and hold harmless Mediagaze Limited and its directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) Content you upload; (b) your conduct on the Platform; (c) your breach of these Terms; (d) your infringement of any third-party intellectual property or privacy right; or (e) your breach of AML/KYC obligations or involvement in prohibited transactions.
15. Suspension & Termination
15.1 Termination by User
You may deactivate your account at any time via account settings. Termination does not extinguish outstanding liabilities, including unpaid fees or pending compliance obligations.
15.2 Termination by FansClique
Mediagaze may suspend or terminate any account, at its sole discretion and without prior notice, where: a user has breached these Terms; the account is linked to fraud, money laundering, or illegal activity; a regulatory authority requires such action; or continued access poses a risk to other users or the Platform's integrity.
15.3 Effect of Termination
Termination results in permanent loss of account access, subscriptions, and content. Where termination follows fraud or AML breach, funds may be frozen, seized, or forfeited in accordance with applicable law. Mediagaze is not obliged to provide data copies post-termination except where legally required.
15.4 Appeals
Users may appeal suspension or termination decisions by contacting [email protected] with supporting evidence. All appeals are reviewed fairly, but Mediagaze retains final discretion.
15.5 Survival
The following provisions survive termination: Clause 10 (IP), Clause 13 (Liability), Clause 14 (Indemnification), Clause 16 (Governing Law), and all financial obligations.
16. Force Majeure
Mediagaze shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemics, government restrictions, power outages, telecommunications failures, or failure of third-party service providers. Performance obligations are suspended for the duration of the event and resumed as soon as reasonably practicable.
17. Governing Law & Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of England and Wales, including the Arbitration and Mediation Act 2023 where applicable.
17.2 Negotiation
In the event of a dispute, the parties shall first attempt to resolve it through good-faith written negotiation within 30 calendar days of written notice.
17.3 Mediation
If negotiation fails, either party may refer the dispute to a neutral independent mediator. Mediation costs are shared equally. Mediation outcomes are binding only if recorded in a signed written settlement.
17.4 Arbitration
If mediation fails, disputes shall be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), with a sole arbitrator, seated in London, conducted in English. The arbitrator's decision is final and binding.
17.5 Emergency & Consumer Relief
Nothing in this clause prevents Mediagaze from seeking urgent injunctive relief in any competent court. Consumer users retain the right to bring claims in the small claims court of England and Wales, and this clause does not restrict any statutory consumer rights.
17.6 Class Action Waiver (Commercial Users Only)
Creator accounts (commercial relationships) agree that disputes will be resolved on an individual basis. This waiver does not apply to Subscribers who are consumers.
18. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, Acceptable Use Policy, Creator Agreement, and Fans & Creators Agreement, constitute the entire agreement between you and Mediagaze Limited.
Amendments: Mediagaze may update these Terms with reasonable notice. Continued use after the effective date of changes constitutes acceptance.
Severability: If any provision is found invalid or unenforceable, it is severed and the remaining provisions continue in full force.
No Waiver: Failure to enforce any right is not a waiver. Any waiver must be in writing.
Assignment: Users may not assign rights or obligations without written consent. Mediagaze may assign freely in connection with a merger, acquisition, or restructuring.

Language: These Terms are in English. In the event of any translation, the English version prevails.
