1. Introduction

Welcome to FansClique. These Terms of Service (“Terms”, “Agreement”) govern your access to and use of FansClique (the “Platform”), owned and operated by Meritearn LTD (“Meritearn”, “we”, “us”, or “our”).

By creating an account, subscribing to a Creator, or otherwise using the Platform, you agree to these Terms. If you do not agree, you must stop using FansClique immediately.

FansClique provides a subscription-based Saas platform. Meritearn LTD operates FansClique, a digital content subscription platform enabling creators (“Creators”) to share exclusive content with subscribers (“Subscribers”). Creators may monetize via subscription fees, pay-per-view content, tips, and other engagement-based revenue models in exchange for subscription fees, pay-per-view payments, tips, and other revenue streams. FansClique acts as a platform provider, facilitating interactions and payments between Creators and Subscribers.

FansClique is not responsible for any content posted by users. All content uploaded to the Platform is the sole responsibility of the user who created it.

2. Definitions

For the purposes of this Agreement:

  • “Account”: The registered user profile required to access the Platform’s services.
     
  • “Agreement”: These Terms of Service, including future amendments.
     
  • “Chargeback”: A demand by a payment provider to return funds to a payer after a disputed transaction.
     
  • “Commission”: The percentage retained by FansClique (25%) from Creator earnings.
     
  • “Content”: Any text, video, image, audio, or material uploaded by a Creator or Subscriber.
     
  • “Creator”: A user who uploads and shares Content on the Platform for subscribers.
     
  • “Data Protection Laws”: The UK Data Protection Act 2018, UK GDPR, and other applicable privacy laws.
     
  • **“Fan” or Subscriber”: A user who pays to access Content on the Platform.
     
  • “Gross Earnings”: All amounts received from Subscribers before deductions.
     
  • “KYC (Know Your Customer)”: Verification checks required to confirm the identity of users.
     
  • “Net Earnings”: Gross Earnings minus FansClique’s 25% commission and applicable fees.
     
  • “Payment Provider”: Stripe, PayPal, Wise, or other regulated financial services companies handling transactions.
     
  • “Platform”: The FansClique service, including its website, apps, and backend infrastructure.
     
  • “User”: Any person accessing the Platform, whether as a Creator, Subscriber, or visitor.
     

3. Eligibility

To use FansClique, you must:

  1. Be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher).
     
  2. Have the legal capacity to enter into a binding agreement.
     
  3. Not be barred from using services under any applicable laws, sanctions, or regulations.
     
  4. Provide accurate, complete, and up-to-date registration information.
     
  5. Not have been previously banned or suspended from using FansClique.
     

We reserve the right to request age verification documents at any time. If you fail to provide satisfactory proof of eligibility, your account may be suspended or terminated.

4. Account Registration

  1. Accuracy of Information

     
    • You agree to provide complete and truthful information when registering for an account.
       
    • You are responsible for keeping your information updated at all times.
       
  2. Account Security

     
    • You are responsible for maintaining the confidentiality of your login credentials.
       
    • You must immediately notify us if you suspect any unauthorized access to your account.
       
    • FansClique is not liable for any losses caused by unauthorized use of your account.
       
  3. Verification Process

     
    • FansClique requires Creators to undergo KYC verification before withdrawals can be made.
       
    • Verification may include providing proof of identity, proof of address, and payment account details.
       
    • Incomplete or failed verification may result in withdrawal delays or account suspension.
       
  4. Multiple Accounts

     
    • Each user may only maintain one active account.
       
    • Duplicate or fraudulent accounts may be terminated without notice.

 

5. Payments and Financial Terms

  1. Revenue Model

     
    • Creators earn money through subscriptions, tips, pay-per-view (PPV), private messages, and other monetized features.
       
    • FansClique retains 25% commission on all gross earnings. Creators receive 75% net earnings, subject to payment processor fees and applicable taxes.
       
  2. Currency and Exchange Rates

     
    • All transactions are processed in the currency specified by the payment provider (e.g., GBP, USD, EUR, NGN).
       
    • Exchange rates are determined by payment providers, not FansClique.
       
    • FansClique is not liable for fluctuations in currency exchange rates.
       
  3. Payment Processing

     
    • All payments are handled by regulated third-party providers such as Stripe, PayPal, Wise, or other licensed partners.
       
    • By using the Platform, you agree to comply with the terms and conditions of these providers.
       
    • FansClique does not store full credit/debit card details on its servers.
       
  4. Payout Schedule

     
    • Creator payouts are typically processed on a monthly or bi-weekly basis, depending on the chosen payment provider.
       
    • Minimum payout thresholds may apply (e.g., £20 or equivalent in local currency).
       
    • Delays may occur due to bank processing times, public holidays, or compliance checks.
       
  5. Refunds and Chargebacks

     
    • Refunds are handled at the discretion of FansClique and its payment providers.
       
    • If a Subscriber initiates a chargeback, the disputed amount may be deducted from the Creator’s balance.
       
    • Excessive chargebacks may result in account suspension, termination, or additional verification requirements.
       

6. Taxes and User Responsibilities

  1. Creator Responsibility

     
    • Creators are solely responsible for declaring and paying all applicable taxes, including income tax, VAT, sales tax, or similar obligations.
       
    • FansClique does not provide tax advice. Creators should seek independent professional guidance.
       
  2. Withholding Rights

     
    • FansClique may withhold or deduct amounts where required by law (e.g., UK HMRC, EU directives, or international tax treaties).
       
  3. Subscriber Responsibility

     
    • Subscribers are responsible for paying subscription fees, tips, and PPV charges, inclusive of applicable taxes.
       

7. Anti-Money Laundering (AML) and Counter-Terrorist Financing (CTF)

  1. Policy Commitment

     
    • FansClique, owned by Meritearn LTD, complies fully with UK AML regulations, EU directives, and international standards.
       
    • We cooperate with financial regulators and payment providers to prevent money laundering, fraud, terrorist financing, and illegal financial activities.
       
  2. KYC (Know Your Customer) Requirements

     
    • All Creators must complete KYC verification before payouts are released.
       
    • Verification documents may include:

       
      • Government-issued ID (passport, driver’s license, or national ID).
         
      • Proof of address (utility bill, bank statement).
         
      • Valid bank account or payment account details.
         
    • Additional checks may be performed where required by regulators or payment processors.
       
  3. Transaction Monitoring

     
    • All transactions on FansClique are subject to monitoring.
       
    • Suspicious or unusual transactions may be flagged, delayed, or reported to authorities.
       
  4. Prohibited Transactions
    Users may not use FansClique to:

     
    • Launder money or disguise the origin of funds.
       
    • Circumvent international sanctions (e.g., OFAC, UK HMT, EU restrictions).
       
    • Fund illegal activities, including terrorism, fraud, or trafficking.
       
    • Attempt to withdraw funds without legitimate Creator activity.
       
  5. Sanctions Compliance

     
    • FansClique does not permit users or transactions from jurisdictions subject to comprehensive sanctions.
       
    • Accounts found linked to sanctioned entities will be suspended immediately.
       
  6. Reporting Obligations

     
    • FansClique reserves the right to file Suspicious Activity Reports (SARs) with the UK Financial Conduct Authority (FCA), HMRC, or other regulators.
       
    • Users will not be informed of such reports, as required by law.
       

8. Payout Restrictions and Holds

  1. FansClique may delay or freeze payouts where:

     
    • Identity verification is incomplete.
       
    • Suspicious or fraudulent activity is suspected.
       
    • A user is subject to sanctions screening.
       
    • Payment providers request compliance review.
       
  2. Funds under investigation will be held until resolution. FansClique is not liable for damages caused by payout delays due to compliance obligations.
     

9. User Cooperation

  • By using FansClique, you agree to fully cooperate with any AML/KYC checks.
     
  • Failure to comply may result in account suspension, forfeiture of earnings, and termination.
     

 

9 User Obligations & Content Standards

FansClique is committed to maintaining a safe, respectful, and lawful digital environment. All users — including creators, subscribers, and visitors — are required to comply with the following obligations and standards when using the platform.

9.1 User Responsibilities

By accessing or using FansClique, you agree to:

  • Provide accurate and up-to-date account information at all times.
     
  • Use FansClique solely for lawful purposes.
     
  • Respect the rights, privacy, and dignity of other users.
     
  • Maintain full responsibility for any content you upload, publish, or share.
     
  • Comply with all applicable local, national, and international laws.
     

9.2 Content Standards

FansClique allows creators to share mature content intended for adult audiences (18+). However, all content must comply with the following standards:

  • Must be lawful under UK law and the laws of the user’s jurisdiction.
     
  • Must be original or properly licensed, respecting intellectual property rights.
     
  • Must be consensual, where applicable, and not exploitative in any form.
     
  • Must be respectful and safe, avoiding harassment, abuse, or hate speech.

9.3 Prohibited Material (Zero Tolerance Policy)

The following categories of content are strictly forbidden on FansClique. Any violation may result in immediate account termination, permanent banning, withholding of funds, and referral to law enforcement:

(a) Child Exploitation

  • Absolutely no content involving individuals under the age of 18.
     
  • No depictions, simulations, or suggestions of underage activity.
     
  • No material that exploits, endangers, or depicts minors in any way.
      Any attempt to share or solicit such content will result in immediate reporting to the UK’s Internet Watch Foundation (IWF), National Crime Agency (NCA), and international partners.
     

(b) Non-Consensual or Abusive Content

  • Content recorded, shared, or distributed without clear consent.
     
  • Harassment, bullying, doxxing, or blackmail-related material.
     
  • Exploitation, coercion, or trafficking.
     

(c) Harmful or Illegal Content

  • Violent extremism, terrorism, or hate propaganda.
     
  • Promotion of drugs, weapons, or illegal goods.
     
  • Graphic gore or content glorifying violence.
     
  • Fraudulent or misleading schemes.
     

9.4 Enforcement Measures

FansClique enforces these standards without exception:

  • Automatic content takedown if violations are detected.
     
  • Immediate account suspension or termination for severe breaches.
     
  • Mandatory reporting to authorities for cases involving exploitation, trafficking, or child safety.
     
  • Withholding of payouts if funds are linked to unlawful activity.
     
  • Permanent banning without appeal for child-related violations.
     

9.5 Reporting Violations

Users are encouraged to report suspected breaches of these standards. Reports can be made via:

All reports will be treated with confidentiality and reviewed promptly.

 

10  Payments, Fees & Anti-Money Laundering Compliance

FansClique’s financial framework is designed to ensure fairness, transparency, and compliance with applicable laws. By using the platform, you agree to the following payment and compliance terms.

10.1 Revenue Sharing

  • Creators retain 75% of all earnings generated from subscriptions, tips, pay-per-view content, and other monetized features.
     
  • FansClique (operated by Meritearn Ltd) retains 25% as a platform service fee, which covers hosting, technology infrastructure, compliance, and payment processing.
     
  • All calculations are made in real-time, and net earnings are displayed on each creator’s dashboard.
     

10.2 Payouts

  • Payouts are made to verified bank accounts or payment methods supported by our licensed payment processors.
     
  • Minimum payout thresholds may apply depending on the creator’s region.
     
  • Payout frequency may be weekly, bi-weekly, or monthly, depending on processor arrangements.
     
  • Payouts are issued only after successful KYC (Know Your Customer) verification of the creator.
     
  • Withholding of payouts may occur if there are:

     
    • Suspicions of fraud or money laundering.
       
    • Breaches of these Terms of Service.
       
    • Pending investigations by FansClique or payment partners.
       

10.3 Know Your Customer (KYC) Verification

  • All creators must undergo KYC verification before receiving payouts.
     
  • Required documents may include:

     
    • Government-issued ID.
       
    • Proof of address.
       
    • Tax documentation (where required by law).
       
  • Failure to provide accurate documentation will result in delayed or denied payouts.
     

 

10.4 Anti-Money Laundering (AML) Policy

FansClique enforces a strict AML compliance framework, consistent with the UK Money Laundering Regulations 2017 and global standards (FATF guidelines).

The following activities are strictly prohibited:

  • Attempting to conceal or disguise the origin of funds.
     
  • Structuring transactions to avoid reporting thresholds.
     
  • Using multiple accounts to bypass verification or restrictions.
     
  • Third-party account usage (funds may only be paid to the verified account holder).
     
  • Laundering proceeds of crime through the platform.
     

FansClique conducts ongoing monitoring of transactions to identify suspicious patterns, and may freeze accounts or escalate cases to relevant authorities.

 

10.5 Refunds, Chargebacks & Disputes

  • All purchases on FansClique are considered final unless otherwise required by law.
     
  • Chargebacks initiated by subscribers may lead to:

     
    • Suspension of the creator’s account pending review.
       
    • Deduction of disputed funds from the creator’s balance.
       
  • Creators agree to cooperate with FansClique in resolving disputes, including providing proof of content delivery.
     

 

10.6 Tax Obligations

  • Creators are solely responsible for reporting and paying any applicable taxes on their earnings.
     
  • FansClique may issue relevant tax forms (e.g., UK HMRC reports, IRS forms for US residents) where required.
     
  • FansClique does not provide tax advice, and creators are encouraged to consult a qualified tax professional.
     

10.7 Currency & Exchange Rates

  • Transactions may be processed in multiple currencies depending on the user’s location.
     
  • Exchange rates applied are determined by our payment partners at the time of conversion.
     
  • FansClique is not responsible for currency fluctuations or conversion fees applied by banks or payment providers.

10.8 Fraud Prevention & Enforcement

FansClique reserves the right to:

  • Suspend or terminate accounts engaged in fraudulent activity.
     
  • Withhold earnings pending investigation of suspicious activity.
     
  • Share information with banks, processors, or law enforcement under fraud-prevention protocols.
     
  • Enforce permanent bans for users or creators engaged in financial misconduct.

11 Intellectual Property Rights & Licensing

 

11.1 Ownership of Content by Creators

  • All content uploaded, published, or shared on FansClique by creators (“Creator Content”) remains the exclusive property of the creator.
     
  • FansClique does not claim ownership over Creator Content.
     
  • By uploading content, creators affirm that:

     
    • They are the rightful owner of the content, or
       
    • They hold all necessary rights, licenses, or permissions to share the content.
       

11.2 Limited License to FansClique

  • By uploading content, creators grant Meritearn Ltd (operating FansClique) a worldwide, non-exclusive, royalty-free, transferable license to:

     
    • Host, display, stream, reproduce, and distribute the content on the FansClique platform.
       
    • Use the content for platform promotion, marketing, and discovery features (unless the creator opts out where available).
       
    • Enforce intellectual property rights against infringers, pirates, or unauthorized distributors.
       
  • This license exists solely to operate and promote FansClique and does not transfer ownership away from the creator.
     

11.3 Intellectual Property Rights of FansClique

  • The FansClique platform, including its design, code, logos, trademarks, and brand assets, are the exclusive property of Meritearn Ltd.
     
  • Users and creators agree not to:

     
    • Copy, modify, or reverse engineer any part of the platform.
       
    • Use FansClique trademarks without express written permission.
       
    • Create competing services using FansClique’s intellectual property.

11.4 Subscriber Use of Creator Content

  • Subscribers may access and view Creator Content for personal, non-commercial use only.
     
  • Subscribers are prohibited from:

     
    • Downloading, copying,  of content is prohibited or redistributing content outside of the FansClique platform is forbidden
       
    • Circumventing payment systems or attempting unauthorized access.
       
  • Any unauthorized sharing, piracy, or redistribution of content is a serious breach and may result in legal action.
     

 

11.5 Infringement & Piracy Reporting

FansClique has a strict policy against copyright infringement.

  • If you believe content has been uploaded without authorization of the rightful owner, you may file an Intellectual Property Complaint via:

  • Complaints must include:

     
    • Identification of the work claimed to be infringed.
       
    • Identification of the allegedly infringing material.
       
    • Proof of ownership or authorized rights.
       
    • A sworn statement that the information provided is accurate.
       
  • FansClique will review all valid claims and remove infringing content promptly in accordance with the UK Copyright, Designs and Patents Act 1988 and applicable international laws.
     

11.6 Digital Millennium Copyright Act (DMCA) Compliance

FansClique complies fully with the Digital Millennium Copyright Act (17 U.S.C. § 512).

11.6.1 DMCA Takedown Notices

If you believe that your copyrighted work has been copied or distributed via FansClique in a way that constitutes copyright infringement, you may submit a DMCA Takedown Notice to:

Your notice must include:

  1. Identification of the copyrighted work claimed to have been infringed.
     
  2. Identification of the allegedly infringing content (URL or specific location).
     
  3. Your contact information (name, address, phone number, email).
     
  4. A statement under penalty of perjury that you are the copyright owner or authorized to act on their behalf.
     
  5. A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
     
  6. Your physical or electronic signature.
     

11.6.2 Counter-Notification Procedure

If you believe your content was removed in error, you may file a Counter-Notification with:

Your counter-notification must include:

  1. Identification of the removed content and its prior location.
     
  2. A statement under penalty of perjury that the removal was a mistake or misidentification.
     
  3. Your name, address, phone number, and consent to jurisdiction of the UK courts (or your local courts if outside the UK).
     
  4. Your physical or electronic signature.
     

Upon receipt of a valid counter-notification, FansClique may restore the content unless the copyright owner initiates a legal action within 10–14 business days.

11.6.3 Repeat Infringer Policy

FansClique maintains a strict repeat infringer policy.

  • Accounts with multiple valid infringement claims may be suspended or permanently terminated.
     
  • Earnings linked to infringing activity may be forfeited.
     
  • IP rights holders are encouraged to report repeat offenders directly to FansClique for expedited enforcement.
     

11.7 Termination of Rights

  • FansClique reserves the right to suspend or terminate accounts that repeatedly violate intellectual property rights.
     
  • FansClique may also deny re-registration to individuals previously banned for infringement or piracy.
     

11.8 Reservation of Rights

  • Except for the limited license granted above, all rights in Creator Content remain with the creator.
     
  • All rights in FansClique’s platform, trademarks, and proprietary technology remain with Meritearn Ltd.
     

11.9 Enforcement

FansClique actively monitors for piracy and copyright abuse.

  • Violators may face:

     
    • Permanent account termination.
       
    • Forfeiture of earnings linked to infringing activity.
       
    • Civil or criminal legal action under UK and international law.
       

11.10 Force Majeure

FansClique (Meritearn Ltd) shall not be held liable or responsible for any delay, interruption, or failure in performance resulting directly or indirectly from causes beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters (flood, earthquake, storm, fire).
     
  • War, terrorism, armed conflict, or civil unrest.
     
  • Epidemics, pandemics, or public health emergencies.
     
  • Government restrictions, sanctions, or regulatory changes.
     
  • Power outages, telecommunications breakdowns, or internet failures.
     
  • Strikes, labor disputes, or shortages of materials.
     

In such cases, FansClique’s obligations will be suspended for the duration of the event, without liability.

Part 12  Data Protection and Privacy

12.1 Commitment to Privacy

FansClique, operated by Meritearn Ltd (Company No. 16645155, registered in England & Wales), is committed to protecting the privacy and security of all users. By creating an account or using the Platform, you agree that FansClique will process your personal data in line with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

12.2 Limited Scope

This section sets out the contractual principles governing FansClique’s handling of personal data. For a full description of how data is collected, used, stored, and protected, users must also review the separate Privacy Policy, which forms part of these Terms by reference.

12.3 User Responsibilities

  1. You warrant that all personal information you provide (including for age verification, payments, and identity checks) is accurate and up to date.
     
  2. You agree not to share account access credentials or allow unauthorized access to your account.
     
  3. You acknowledge that certain data (e.g., ID verification, payment details) may be required to comply with anti-money laundering (AML) and fraud-prevention obligations.
     

12.4 Platform Use of Data

FansClique may process personal data for purposes strictly necessary to:

  • Verify identity and eligibility to use the Platform.
     
  • Enable payments, subscriptions, tips, and payouts via regulated third-party processors (e.g., Stripe, PayPal).
     
  • Detect and prevent unlawful activity, including fraud, money laundering, and misuse of the Platform.
     
  • Comply with applicable legal, regulatory, and law enforcement obligations.
     

12.5 Data Sharing

FansClique may disclose personal data to trusted third parties, including but not limited to:

  • Licensed payment processors and banking partners,
     
  • Identity verification and AML service providers,
     
  • Hosting, security, and technical support providers,
     
  • Regulatory or law enforcement authorities where legally required.
     

Data is never sold or traded for marketing purposes.

12.6 Rights and Limitations

  1. Users have the right to request access, correction, or deletion of their personal data, subject to applicable laws and retention requirements.
     
  2. FansClique may retain certain information as long as necessary to comply with law, enforce agreements, or resolve disputes.
     
  3. FansClique reserves the right to suspend or terminate accounts where compliance with data obligations is not possible.
     

12.7 Breach and Liability

In the unlikely event of a data breach, FansClique will act in accordance with applicable law, including notification to affected users where legally required. FansClique shall not be liable for breaches resulting from circumstances beyond its reasonable control, including failures of third-party processors or events falling under force majeure.

13 Force Majeure and General Provisions

7.1 Force Majeure

FansClique shall not be held responsible or liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from causes beyond its reasonable control. These include, but are not limited to:

  • Acts of God, natural disasters, floods, earthquakes, fires, storms, or pandemics;
     
  • War, terrorism, armed conflict, riots, or civil commotion;
     
  • Strikes, labor disputes, or industrial action;
     
  • Failures or disruptions of electricity, telecommunications, internet service providers, or hosting providers;
     
  • Actions or restrictions of governments, regulators, or other competent authorities;
     
  • Failures of third-party service providers (including payment processors or KYC/AML vendors).
     

In such circumstances, FansClique’s obligations shall be suspended for the duration of the event, and FansClique shall resume performance as soon as reasonably possible.

13.2 No Waiver

Failure by FansClique to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Meritearn Ltd.

13.3 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or regulator of competent jurisdiction, the remaining provisions shall remain in full force and effect.

13.4 Entire Agreement

These Terms, together with the Privacy Policy, Cookies Policy, and any other referenced documents, constitute the entire agreement between you and FansClique. They supersede all prior agreements, understandings, or arrangements, whether oral or written.

13.5 Assignment

  1. Users may not assign, transfer, or delegate any of their rights or obligations under these Terms without prior written consent from FansClique.
     
  2. FansClique reserves the right to assign or transfer its rights and obligations to another entity in the event of a merger, acquisition, or corporate restructuring, provided such assignment does not reduce user rights under these Terms.
     

13.6 Notices

Notices under these Terms shall be provided electronically:

  • To FansClique: [email protected].
     
  • To Users: via the registered email address associated with the user’s account.
    Electronic notices shall be deemed received on the date of transmission unless proven otherwise.
     

13.7 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales.

  • Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
     
  • Users agree to submit to the jurisdiction of these courts, provided that FansClique retains the right to seek injunctive or equitable relief in any jurisdiction.
     

 

14 Dispute Resolution and Arbitration

14.1 Good Faith Negotiation

In the event of a dispute, claim, or controversy arising out of or relating to these Terms, the use of the Platform, or any transactions between users and FansClique:

  • The parties shall first attempt to resolve the matter informally and in good faith by contacting FansClique at [email protected].
     
  • FansClique will acknowledge receipt of the dispute within 14 business days and endeavor to resolve it through discussion, mediation, or direct settlement within a reasonable timeframe.
     

14.2 Escalation to Mediation

If the dispute cannot be resolved informally, either party may submit the matter to a neutral mediation service based in the United Kingdom.

  • The costs of mediation shall be shared equally unless otherwise agreed.
     
  • Mediation shall be confidential, and any settlement reached will be binding upon the parties.
     

14.3 Binding Arbitration

If mediation fails, the dispute shall be finally resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), which are deemed incorporated by reference into this clause.

  • The tribunal shall consist of one arbitrator appointed in accordance with the LCIA rules.
     
  • The seat of arbitration shall be London, England, and the language of the proceedings shall be English.
     
  • The arbitrator’s decision shall be final and binding on all parties, with no right of appeal, except as permitted by law.
     

14.4 Class Action Waiver

You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. By using the Platform, you waive any right to participate in a class action or collective claim against FansClique.

14.5 Injunctive Relief

Notwithstanding the above, FansClique retains the right to seek injunctive or equitable relief in any jurisdiction to protect its intellectual property, confidential information, or data security, without first engaging in negotiation, mediation, or arbitration.

14.6 Time Limitation

Any claim or dispute you may have against FansClique must be filed within one (1) year after the cause of action arises. Claims filed beyond this period shall be permanently barred, unless prohibited by law.

14.7 Governing Law

This Part 8 shall be interpreted in accordance with the laws of England and Wales, consistent with the general Governing Law clause in these Terms.

15 Intellectual Property and Licensing

15.1 FansClique Intellectual Property

  1. The FansClique Platform, including but not limited to its software, website, mobile applications, branding, logos, trademarks, service marks, trade names, designs, layouts, features, and all related intellectual property rights, are the exclusive property of Meritearn Ltd or its licensors.
     
  2. Except as expressly permitted under these Terms, no user is granted any license, right, or interest in FansClique’s intellectual property.
     
  3. Unauthorized use, reproduction, distribution, or modification of FansClique’s intellectual property is strictly prohibited and may result in legal action.
     

15.2 User Content Ownership

  1. Users retain ownership of all content they create, upload, or post to the Platform (“User Content”), subject to the rights and licenses granted to FansClique under these Terms.
     
  2. FansClique does not claim ownership of User Content; however, by posting content on the Platform, you grant FansClique certain rights necessary to operate and promote the service.
     

15.3 License Granted by Users

By uploading or posting User Content, you grant FansClique a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

  • Host, store, reproduce, and display the content on the Platform.
     
  • Distribute the content to other users in accordance with your account settings (e.g., paid subscriptions, pay-per-view, tips).
     
  • Use the content for operational purposes, such as moderation, security checks, and service improvements.
     

This license automatically ends when the content is removed from the Platform, except where retention is required by law, to resolve disputes, or to enforce these Terms.

15.4 User Warranties on Content

You warrant that:

  1. You own or have the necessary licenses, rights, consents, and permissions to publish and authorize FansClique’s use of your content as described in these Terms.
     
  2. Your content does not infringe upon or violate the intellectual property, privacy, publicity, or contractual rights of any third party.
     
  3. Your content complies with the FansClique Content Guidelines, including restrictions on prohibited material.
     

15.5 Prohibited Use of FansClique IP

Without prior written consent from Meritearn Ltd, users may not:

  • Copy, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the FansClique platform or applications.
     
  • Use FansClique trademarks, logos, or brand identifiers in a manner likely to cause confusion or imply unauthorized endorsement.
     
  • Create derivative works based on FansClique’s proprietary software, databases, or platform features.
     

15.6 DMCA and Copyright Policy

  1. FansClique complies with the Digital Millennium Copyright Act (DMCA) and other applicable copyright protection laws.
     
  2. If you believe your copyrighted work has been used or distributed on the Platform without authorization, please contact FansClique at [email protected] with a written notice containing:

     
    • A description of the copyrighted work claimed to have been infringed.
       
    • The location (URL) of the allegedly infringing material.
       
    • Your contact information (name, address, email, phone).
       
    • A statement under penalty of perjury that you have a good-faith belief that use of the material is unauthorized.
       
    • Your signature (electronic or physical).
       
  3. FansClique may remove or disable access to allegedly infringing content and may terminate repeat infringers’ accounts in accordance with applicable law.
     

15.7 Reservation of Rights

FansClique reserves all rights not expressly granted under these Terms. Users may not exploit any part of the Platform except as expressly authorized herein

 

16 Third-Party Services & External Links

10.1 Use of Third-Party Services

  1. FansClique may integrate or provide access to third-party services, including but not limited to payment processors, verification providers, hosting partners, and analytics tools.
     
  2. Your use of such services may be subject to additional terms and policies imposed by the relevant third party. By using those services, you agree to comply with the applicable third-party terms.
     
  3. FansClique is not responsible for and does not endorse, warrant, or assume liability for any products, services, or content provided by third parties.
     

16.2 Payment Processors

  1. All payments, withdrawals, and financial transactions made through FansClique are processed by independent third-party payment providers.
     
  2. FansClique does not store your full payment card or bank account details; such information is handled in accordance with the payment provider’s security protocols.
     
  3. FansClique is not liable for errors, delays, charges, or issues arising from payment processing, currency conversion, or withdrawal delays attributable to third-party providers.
     

15.3 External Links on the Platform

  1. The Platform may contain links to external websites, applications, or content uploaded by other users (including creators).
     
  2. FansClique does not control, monitor, or endorse such third-party content or links and is not responsible for their availability, accuracy, or security.
     
  3. Accessing third-party sites is at your own risk, and you should review the terms and privacy policies of those external services.
     

16.4 Creator Promotion of External Links

  1. Creators may share links (e.g., to personal websites, merchandise stores, or social media) subject to FansClique’s Content Guidelines and applicable law.
     
  2. Creators are solely responsible for ensuring that any external links they share:

     
    • Do not mislead subscribers.
       
    • Do not link to harmful, fraudulent, or illegal websites.
       
    • Do not promote services that compete directly with FansClique without written authorization.
       
  3. FansClique reserves the right to remove any external link or content it deems harmful, misleading, or in violation of these Terms.
     

16.5 Liability Disclaimer

  1. FansClique is not a party to and assumes no responsibility for any transactions, agreements, or disputes between users and third-party services.
     
  2. Users engage with third parties at their own discretion and risk.

 

17 – Termination & Suspension of Accounts

17.1 Grounds for Suspension or Termination

FansClique (operated by Meritearn Ltd) may suspend, restrict, or permanently terminate any User or Creator account, at its sole discretion, if:

  1. A breach of these Terms of Service, the Content Guidelines, or applicable law occurs.
     
  2. The account is associated with fraudulent, deceptive, or unlawful activity, including but not limited to:

     
    • Money laundering.
       
    • Financing of illegal activities.
       
    • Use of stolen or unauthorized payment instruments.
       
    • Falsification of identity or impersonation.
       
  3. The account is used to process transactions unrelated to permitted mature content services.
     
  4. The User or Creator engages in activity that undermines the safety, security, or integrity of the Platform.
     
  5. The account is linked to excessive chargebacks, payment reversals, or unresolved disputes.
     
  6. There is evidence of attempts to circumvent verification checks (KYC/AML), including the submission of false documents or information.
     

17.2 AML & Compliance Enforcement

  1. In compliance with UK regulations and international standards, FansClique actively monitors accounts and transactions for AML red flags such as:

     
    • Large, rapid, or irregular payment flows inconsistent with the account’s activity.
       
    • Unexplained use of multiple cards, accounts, or currencies.
       
    • Transactions originating from or routed to high-risk jurisdictions.
       
    • Use of third-party accounts to fund or withdraw from the Platform.
       
  2. FansClique reserves the right to freeze funds while investigating suspicious activity.
     
  3. Where required by law, FansClique will report suspicious activity to relevant financial and regulatory authorities.
     

17.3 Immediate Suspension Without Notice

  1. FansClique may immediately suspend any account, without prior warning, if:

     
    • There is suspicion of illegal activity or AML violation.
       
    • There is a credible risk of harm to other Users, Creators, or the Platform.
       
    • Regulatory authorities request such action.
       
  2. FansClique may withhold payouts pending the outcome of investigations.
     

17.4 Termination by the User or Creator

  1. Users and Creators may terminate their account voluntarily at any time via the account settings.
     
  2. Termination does not remove outstanding liabilities, including unpaid service fees, compliance obligations, or pending withdrawal verifications.
     

11.5 Effect of Termination

  1. Termination may result in permanent loss of access to the account, subscriptions, earnings, and data.
     
  2. FansClique is under no obligation to provide data copies post-termination, except where legally required.
     
  3. If an account was terminated due to fraud, AML breaches, or illegal activity, funds may be seized, frozen, or forfeited in accordance with law.
     

17.6 Appeals & Reviews

  1. Terminated or suspended accounts may appeal the decision by contacting [email protected].
     
  2. Appeals must include supporting evidence and identification documents where applicable.
     
  3. While all appeals are reviewed fairly, FansClique retains final discretion in determining the account’s status.
     

17.7 Survival of Terms

The following provisions shall continue to apply after termination:

  • Intellectual Property Rights
     
  • Payment Obligations
     
  • Indemnification
     
  • Limitation of Liability
     
  • Governing Law and Dispute Resolution


 

18  Intellectual Property Rights

18.1 FansClique Intellectual Property

  1. The FansClique Platform, including but not limited to:

     
    • The website, mobile applications, and software;
       
    • The FansClique name, logo, brand identity, trade dress, and designs;
       
    • The layout, graphics, user interface, code, databases, and infrastructure;
       
    • All related materials, documentation, and proprietary technologies;
       
  2. is owned and operated exclusively by Meritearn Ltd (UK Company No. 16645155), and is protected by applicable copyright, trademark, and intellectual property laws of the United Kingdom, the European Union, the United States, and other jurisdictions.
     
  3. No User, Creator, or third party may copy, reproduce, distribute, publicly display, reverse-engineer, modify, adapt, or otherwise exploit any part of the FansClique Platform or its associated intellectual property without the prior written consent of Meritearn Ltd.
     
  4. Unauthorized use of FansClique’s intellectual property may result in civil and/or criminal liability, including but not limited to injunctions, damages, and prosecution under applicable law.
     

18.2 User and Creator Content Ownership

  1. Ownership: Users and Creators retain full ownership of all original content they create, upload, or distribute through the FansClique Platform, subject to the rights granted herein. FansClique does not claim ownership of User-generated content.
     
  2. License to FansClique: By posting, uploading, or sharing content on the Platform, Creators and Users grant FansClique a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

     
    • Host, display, reproduce, distribute, and transmit such content on the Platform;
       
    • Promote, market, and advertise the Platform (including use of thumbnails, previews, and excerpts);
       
    • Provide technical and operational services necessary for Platform functionality.
       
  3. Duration of License: This license remains in effect until the content is removed or the account is terminated, except where FansClique is required by law, regulation, or enforcement action to retain the content.
     

 

18.3 Respecting Third-Party Rights

  1. Users and Creators must not upload, share, or distribute any content that infringes the intellectual property rights of third parties, including copyrights, trademarks, patents, trade secrets, or publicity/privacy rights.
     
  2. If content is alleged to infringe on a third party’s intellectual property rights, FansClique may:

     
    • Remove or restrict access to the allegedly infringing material;
       
    • Notify the Creator or User responsible;
       
    • Provide a mechanism for filing counter-notices in accordance with applicable law (including the UK Copyright, Designs and Patents Act 1988 and the U.S. Digital Millennium Copyright Act (DMCA)).
       

18.4 Reporting Intellectual Property Infringement

  1. FansClique respects the intellectual property rights of others and requires all Users and Creators to do the same.
     
  2. Rights holders may report alleged infringement by contacting [email protected] with sufficient details, including:

     
    • Identification of the protected work;
       
    • Proof of ownership or authorization;
       
    • The specific URL(s) or content location;
       
    • A sworn statement of good-faith belief in the claim.
       
  3. FansClique will act promptly in reviewing and addressing reports of infringement in accordance with applicable legal standards.
     

18.5 Trademarks and Branding

  1. “FansClique” and all associated logos, marks, and trade names are trademarks of Meritearn Ltd.
     
  2. Unauthorized use of FansClique’s marks, including in advertising, domain names, or social media handles, is strictly prohibited without prior written authorization.
     

18.6 Survival of Rights

The provisions in this section survive account termination and continue to apply to all content, branding, and intellectual property associated with FansClique.

 

19 – Anti-Money Laundering (AML) & Know Your Customer (KYC) Policy

19.1 Commitment to Compliance

  1. FansClique, operated by Meritearn Ltd (UK Company No. 16645155), is fully committed to complying with applicable UK Money Laundering Regulations 2017, the Proceeds of Crime Act 2002, the Terrorism Act 2000, and equivalent international AML standards.
     
  2. FansClique takes a zero-tolerance approach to money laundering, terrorist financing, or any unlawful financial activity on the Platform.
     
  3. All Users and Creators must cooperate with FansClique’s compliance requirements, including identity verification (KYC) and transaction monitoring, as a condition of using the Platform.
     

19.2 Identity Verification (KYC)

  1. FansClique requires Users and Creators to complete KYC verification before accessing certain features, including but not limited to:

     
    • Receiving payouts as a Creator.
       
    • Subscribing to paid content.
       
    • Making or receiving tips, pay-per-view (PPV) transactions, or other financial transfers.
       
  2. Verification may require the submission of:

     
    • Full legal name.
       
    • Date of birth and nationality.
       
    • Government-issued photo identification.
       
    • Proof of address (e.g., utility bill or bank statement).
       
    • Tax information, where applicable.
       
  3. FansClique reserves the right to conduct additional checks or request updated information at any time to comply with AML/KYC obligations.
     

19.3 Transaction Monitoring

  1. FansClique actively monitors User and Creator transactions for unusual or suspicious activity, including but not limited to:

     
    • Rapid or high-volume transactions inconsistent with typical platform activity.
       
    • Use of multiple funding sources without legitimate explanation.
       
    • Repeated chargebacks, disputes, or reversed transactions.
       
    • Payments originating from or destined to high-risk jurisdictions or sanctioned territories.
       
    • Attempted use of third-party accounts for deposits or withdrawals.
       
  2. Transactions flagged as suspicious may be temporarily held, investigated, and reported to regulatory authorities where required by law.
     

19.4 Prohibited Financial Activity

Users and Creators are strictly prohibited from:

  1. Attempting to launder funds through the FansClique Platform.
     
  2. Using stolen, fraudulent, or unauthorized payment methods.
     
  3. Concealing or misrepresenting the source, ownership, or destination of funds.
     
  4. Circumventing verification or monitoring measures implemented by FansClique.
     
  5. Engaging in financial activity linked to criminal enterprises, terrorist organizations, or sanctioned entities.
     

19.5 Freezing, Withholding, and Reporting

  1. FansClique may freeze funds or suspend withdrawals where suspicious or unlawful activity is detected.
     
  2. FansClique may withhold payouts to Creators if required to comply with AML/KYC laws, tax obligations, or regulatory investigations.
     
  3. FansClique will comply with lawful requests from regulatory, tax, and enforcement agencies, including sharing User or Creator data where legally mandated.
     

19.6 Cooperation with Authorities

  1. FansClique reserves the right to report suspicious activity to relevant authorities, including the UK Financial Conduct Authority (FCA), the National Crime Agency (NCA), and equivalent global regulators.
     
  2. Users and Creators acknowledge that FansClique is legally obligated to cooperate with investigations and enforcement actions related to financial crimes.
     

19.7 Termination for Non-Compliance

Failure to comply with FansClique’s AML/KYC requirements may result in:

  1. Immediate suspension or termination of the User or Creator account.
     
  2. Forfeiture or freezing of funds associated with the account.
     
  3. Permanent exclusion from future use of the Platform.
     

19.8 No Waiver of Compliance

  1. FansClique cannot waive AML or KYC requirements under any circumstances.
     
  2. All Users and Creators, regardless of location or status, are equally subject to AML/KYC enforcement.
     

20 General Compliance & Regulatory Obligations

14.1 Compliance with Laws

  1. All Users and Creators agree to comply with all applicable local, national, and international laws and regulations in connection with their use of the FansClique Platform.
     
  2. This includes, without limitation, laws relating to:

     
    • Data protection and privacy.
       
    • Financial services, payments, and taxation.
       
    • Export controls and trade restrictions.
       
    • Intellectual property and digital rights.
       
    • Consumer protection and electronic commerce.
       

20.2 Export Controls and Sanctions

  1. Users and Creators must not use FansClique in violation of UK, EU, U.S., or UN sanctions and export control laws.
     
  2. FansClique strictly prohibits access to the Platform from, or the facilitation of payments to or from, countries, regions, or persons subject to comprehensive sanctions, including but not limited to:

     
    • Countries designated by the UK or EU as sanctioned jurisdictions.
       
    • Persons or entities listed on the U.S. Office of Foreign Assets Control (OFAC) Specially Designated Nationals (SDN) List.
       
    • Any jurisdiction or person identified as supporting terrorist financing or unlawful activities.
       
  3. Attempts to bypass export or sanctions restrictions (e.g., through VPNs, proxies, or third-party intermediaries) are strictly forbidden and may result in immediate termination.
     

20.3 Tax Obligations

  1. Each Creator is solely responsible for reporting and paying any taxes (income tax, VAT, GST, or other applicable duties) arising from earnings on the FansClique Platform.
     
  2. FansClique does not provide tax, legal, or financial advice to Users or Creators.
     
  3. Where legally required, FansClique may collect and remit taxes on behalf of Users or Creators, or issue tax forms and disclosures to relevant authorities.
     
  4. By using the Platform, Creators consent to FansClique providing information regarding their earnings to tax authorities, where mandated by law.
     

20.4 Prohibited Uses Under Compliance Rules

Users and Creators may not use FansClique for:

  1. Conducting or promoting unlawful business activities.
     
  2. Financing or facilitating terrorism, organized crime, or fraud.
     
  3. Engaging in transactions involving prohibited goods or services, including but not limited to:

     
    • Weapons, explosives, or military equipment.
       
    • Controlled substances or prescription drugs without authorization.
       
    • Gambling services not licensed in the User’s jurisdiction.
       
    • Services in violation of consumer protection laws.
       

 

20.5 Duty to Cooperate

  1. Users and Creators agree to cooperate fully with FansClique in any compliance-related inquiry, audit, or investigation.
     
  2. FansClique reserves the right to request additional documentation or information at any time to ensure compliance with its regulatory obligations.
     

20.6 Breach of Compliance

  1. Breach of this section may result in:

     
    • Account suspension or termination.
       
    • Freezing or forfeiture of funds.
       
    • Reporting of activities to relevant enforcement or regulatory authorities.
       
  2. FansClique shall not be liable for losses arising from enforcement actions or account restrictions taken under this section.
     

 

21 Anti-Money Laundering (AML) & Know Your Customer (KYC) Compliance

21.1 Compliance Commitment

Meritearn Ltd, as the operator of the FansClique platform, is fully committed to complying with all applicable laws and regulations concerning anti-money laundering (“AML”), counter-terrorist financing (“CTF”), fraud prevention, and economic sanctions. Users must understand and agree that use of the FansClique platform is conditional upon compliance with these obligations.

21.2 KYC Verification

(a) Identity Verification: FansClique reserves the right to verify the identity of all users, particularly creators who wish to monetize their content, and subscribers who engage in financial transactions. Verification may include the collection of government-issued identification, proof of address, date of birth, and other documentation as required.
(b) Ongoing Monitoring: Users agree that their accounts may be subject to continuous monitoring to ensure compliance with AML standards. Any suspicious activity may trigger requests for updated information, temporary account suspension, or permanent closure.

21.3 Prohibited Transactions

Users must not, under any circumstances, use the FansClique platform:

  • To launder funds derived from criminal activity.
     
  • To finance terrorism, extremist organizations, or unlawful groups.
     
  • To bypass economic sanctions or engage with embargoed countries, persons, or entities.
     
  • To conceal the source of illegally obtained funds.
     
  • To engage in any form of fraud, including but not limited to chargeback abuse or identity theft.
     

21.4 Reporting Obligations

FansClique will cooperate fully with regulatory authorities and may, at its sole discretion or as required by law, report any suspicious transactions to competent financial intelligence units (“FIUs”) or law enforcement agencies. Users acknowledge that FansClique may be legally prohibited from notifying them of such reporting.

21.5 Account Restrictions

(a) FansClique reserves the right to place limits on deposits, withdrawals, or content monetization until satisfactory verification is obtained.
(b) Failure to comply with KYC/AML requests within the time provided may result in account suspension, content removal, and/or forfeiture of funds.
(c) Users acknowledge that FansClique may terminate access to the platform immediately if they are found to be in violation of AML/CTF laws.

21.6 Sanction Screening

All users and transactions may be screened against international sanction lists, including but not limited to the HM Treasury Sanctions List, OFAC Specially Designated Nationals (SDN) List, and the European Union Consolidated Sanctions List. Users flagged as high-risk may be denied access.

21.7 No Liability

FansClique shall not be liable for any loss, delay, or inconvenience suffered as a result of compliance with AML/KYC obligations, including transaction delays caused by verification checks or regulatory reporting.

22. Intellectual Property Protection & DMCA Procedure

22.1 Respect for Intellectual Property

FansClique respects the intellectual property rights of others and expects all users to do the same. Users may only upload, share, or monetize content to which they own the rights or have obtained valid licenses or permissions. Unauthorized use of copyrighted or trademarked material is strictly prohibited.

22.2 Ownership of Content

(a) Creators’ Rights: Content uploaded by creators remains the intellectual property of the creator. By uploading content, creators grant FansClique a limited, worldwide, non-exclusive, royalty-free license to host, display, and distribute such content solely in connection with operating the platform.
(b) Platform Rights: FansClique does not claim ownership over user-generated content but reserves the right to remove content at its discretion where intellectual property infringement is alleged or confirmed.

22.3 Prohibited Uses of Third-Party Content

Users must not upload, publish, or distribute:

  • Copyrighted works without the owner’s permission.
     
  • Logos, brands, or trademarks without authorization.
     
  • Content copied from other platforms without license.
     
  • Pirated, bootlegged, or counterfeit materials.
     

22.4 Reporting Copyright Infringement (DMCA Notice)

If you believe that material on FansClique infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) Notice of Claimed Infringement to our Designated Agent at:

22.5 Counter-Notification Process

If your content is removed due to a DMCA Notice and you believe it was taken down in error, you may submit a Counter-Notification to FansClique’s Designated Agent. A valid counter-notice must include:

  1. Your name, address, phone number, and email.
     
  2. Identification of the material removed and its location prior to removal.
     
  3. A statement under penalty of perjury that you believe the material was removed as a result of mistake or misidentification.
     
  4. Consent to the jurisdiction of UK courts and agreement to accept service of process from the original complainant.
     
  5. Your physical or electronic signature.
     

Upon receipt of a valid Counter-Notification, FansClique may restore the material within a reasonable time unless the original complainant initiates legal action.

22.6 Repeat Infringers

FansClique has a strict “three-strike” policy. Users who are found to repeatedly infringe intellectual property rights may have their accounts suspended or permanently terminated.

22.7 Trademarks and Brand Protection

FansClique’s name, logo, and brand identity are the exclusive property of Meritearn Ltd. Users may not use FansClique’s trademarks, branding, or likeness without express written permission.

22.8 No Liability

FansClique shall not be liable for any damages, losses, or claims arising from intellectual property disputes between users and third parties. Users agree to indemnify and hold FansClique harmless for any claims of infringement resulting from their uploaded content.

23. Intellectual Property Protection & DMCA Procedure

23.1 Respect for Intellectual Property

FansClique respects the intellectual property rights of others and expects all users to do the same. Users may only upload, share, or monetize content to which they own the rights or have obtained valid licenses or permissions. Unauthorized use of copyrighted or trademarked material is strictly prohibited.

23.2 Ownership of Content

(a) Creators’ Rights: Content uploaded by creators remains the intellectual property of the creator. By uploading content, creators grant FansClique a limited, worldwide, non-exclusive, royalty-free license to host, display, and distribute such content solely in connection with operating the platform.
(b) Platform Rights: FansClique does not claim ownership over user-generated content but reserves the right to remove content at its discretion where intellectual property infringement is alleged or confirmed.

23.3 Prohibited Uses of Third-Party Content

Users must not upload, publish, or distribute:

  • Copyrighted works without the owner’s permission.
     
  • Logos, brands, or trademarks without authorization.
     
  • Content copied from other platforms without license.
     
  • Pirated, bootlegged, or counterfeit materials.
     

23.4 Reporting Copyright Infringement (DMCA Notice)

If you believe that material on FansClique infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) Notice of Claimed Infringement to our Designated Agent at:

A valid DMCA Notice must include the following:

  1. Your full name, address, phone number, and email.
     
  2. Identification of the copyrighted work you claim has been infringed.

  4. A statement that you have a good faith belief the use is unauthorized.
     
  5. A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
     
  6. Your physical or electronic signature.
     

23.5 Counter-Notification Process

If your content is removed due to a DMCA Notice and you believe it was taken down in error, you may submit a Counter-Notification to FansClique’s Designated Agent. A valid counter-notice must include:

  1. Your name, address, phone number, and email.
     
  2. Identification of the material removed and its location prior to removal.
     
  3. A statement under penalty of perjury that you believe the material was removed as a result of mistake or misidentification.
     
  4. Consent to the jurisdiction of UK courts and agreement to accept service of process from the original complainant.
     
  5. Your physical or electronic signature.
     

Upon receipt of a valid Counter-Notification, FansClique may restore the material within a reasonable time unless the original complainant initiates legal action.

23.6 Repeat Infringers

FansClique has a strict “three-strike” policy. Users who are found to repeatedly infringe intellectual property rights may have their accounts suspended or permanently terminated.

23.7 Trademarks and Brand Protection

FansClique’s name, logo, and brand identity are the exclusive property of Meritearn Ltd. Users may not use FansClique’s trademarks, branding, or likeness without express written permission.

23.8 No Liability

FansClique shall not be liable for any damages, losses, or claims arising from intellectual property disputes between users and third parties. Users agree to indemnify and hold FansClique harmless for any claims of infringement resulting from their uploaded content.

24. Disclaimers, Limitation of Liability & Indemnification

24.1 General Disclaimer

FansClique is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Meritearn Ltd makes no warranties or representations of any kind, whether express, implied, or statutory, including but not limited to:

  • Fitness for a particular purpose;
     
  • Merchantability;
     
  • Reliability, accuracy, or availability of the platform;
     
  • Uninterrupted or error-free operation;
     
  • Security of user data beyond reasonable industry standards.
     

Users acknowledge that their use of FansClique is at their sole risk.

24.2 No Responsibility for User Content

FansClique is not responsible or liable for any content uploaded, shared, or monetized by users. The responsibility for ensuring legality, accuracy, and compliance lies solely with the uploading user. FansClique does not endorse or guarantee the opinions, statements, or materials posted by users.

24.3 Technical Limitations

While FansClique employs industry-standard safeguards, Meritearn Ltd does not guarantee that:

  • The platform will always be free from viruses, malware, or harmful components;
     
  • Any defects will be corrected immediately;
     
  • The platform will always be accessible in every jurisdiction without interruption.
     

Downtime, maintenance, or force majeure events may impact access without liability to FansClique.

24.4 Limitation of Liability

To the maximum extent permitted by law:

  • FansClique, Meritearn Ltd, its directors, officers, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the platform.
     
  • Liability for direct damages shall not exceed the greater of:
    (a) £100 GBP, or
    (b) the amount the user paid to FansClique in subscription fees during the six (6) months prior to the claim.
     

24.5 Indemnification by Users

Users agree to defend, indemnify, and hold harmless FansClique, Meritearn Ltd, and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to:

  1. Violation of these Terms of Service;
     
  2. User-generated content uploaded to the platform;
     
  3. Intellectual property infringement claims;
     
  4. Fraud, misrepresentation, or unlawful activity by the user;
     
  5. Breach of AML/KYC obligations or prohibited transactions.
     

24.6 No Guarantee of Earnings

FansClique provides tools for creators to monetize their content, but does not guarantee any specific level of income, audience growth, or financial success. User earnings are determined solely by their performance, engagement, and compliance.

24.7 Third-Party Services

FansClique may integrate or link with third-party services (e.g., payment providers, hosting partners, or analytics tools). Meritearn Ltd makes no warranties regarding such third parties and shall not be liable for any damages arising from their use.

 

25. Governing Law & Jurisdiction

25.1 Governing Law

These Terms of Service, along with any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales.

25.2 Exclusive Jurisdiction

Users agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or relating to these Terms of Service, the use of FansClique, or any related transaction.

25.3 International Use

FansClique is a UK-based service and does not guarantee compliance with the laws of other jurisdictions. Users accessing FansClique from outside the United Kingdom are responsible for ensuring that their activities comply with all applicable local laws and regulations.

25.4 No Waiver of Rights

Failure by FansClique to enforce any provision of these Terms shall not constitute a waiver of its rights to subsequently enforce the same or any other provision.

 

26. Complaints, Dispute Resolution & Arbitration

26.1 Internal Complaints Procedure

(a) Users who wish to raise a complaint regarding FansClique’s services must first contact our Support Team at [email protected].
(b) Complaints must include: the user’s full name, registered account email, a detailed description of the issue, and any supporting documentation.
(c) FansClique will acknowledge receipt of complaints within 7 business days and provide a formal response within 30 days, unless an extension is required due to complexity.

26.2 Escalation

If a user is not satisfied with the initial response, the complaint may be escalated internally to FansClique’s Compliance and Legal Department, which will conduct a further review and issue a final decision within a reasonable timeframe.

26.3 Mediation & Alternative Dispute Resolution (ADR)

Before initiating formal legal proceedings, both FansClique and the user agree to attempt to resolve disputes through good-faith negotiations and, if necessary, through a mutually agreed independent mediation or alternative dispute resolution (ADR) process.

26.4 Binding Arbitration (Optional)

(a) If the parties cannot resolve a dispute through internal procedures or mediation, the matter may, by mutual agreement, be referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA) or another recognized arbitration body.
(b) Arbitration shall be conducted in English, seated in London, United Kingdom, and decided by one or more arbitrators appointed in accordance with the LCIA Rules.
(c) Arbitration decisions shall be final and binding on both parties, with limited rights of appeal.

26.5 Small Claims Exception

Nothing in this section prevents a user from bringing a claim in the small claims courts of England and Wales where such courts have jurisdiction.

26.6 Class Action Waiver

To the fullest extent permitted by law, users agree that all disputes will be resolved on an individual basis and not as part of a class, collective, consolidated, or representative action.

26.7 No Restriction on Legal Rights

This dispute resolution framework is designed to encourage fairness and efficiency, but it does not limit a consumer’s statutory rights under applicable UK law.

27. Miscellaneous & Final Provisions

27.1 Entire Agreement

These Terms of Service, together with the Privacy Policy, Cookie Policy, and any other referenced agreements, constitute the entire agreement between the user and Meritearn Ltd regarding the use of FansClique. They supersede all prior discussions, negotiations, and agreements, whether written or oral.

27.2 Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a competent authority, such provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.

27.3 No Waiver

Failure or delay by FansClique to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be expressly made in writing by FansClique.

27.4 Assignment

Users may not assign, transfer, or sublicense their rights or obligations under these Terms without prior written consent from FansClique. Meritearn Ltd may freely assign or transfer its rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.

27.5 Notices & Communications

(a) All formal notices to FansClique must be sent via email to: [email protected].
(b) FansClique may provide notices to users through the platform, via email to the registered address, or by other reasonable communication methods.
(c) Users are responsible for maintaining accurate contact details to ensure receipt of notices.

27.6 Survival

Any provisions of these Terms which by their nature should survive termination (including but not limited to intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) shall remain in full force and effect after termination of a user’s account.

27.7 Headings

Section titles and headings are provided for convenience only and shall not affect the interpretation of these Terms.

27.8 Language

These Terms are drafted in the English language, and in the event of any translation, the English version shall prevail.

27.9 Effective Date

These Terms of Service are effective as of the date of publication and remain in force until updated or replaced. Users will be notified of material changes in accordance with Section 4 (Modifications to the Terms).
