FansClique Fans and Creators Contract

This Fans and Creators Contract (“Contract”) outlines the relationship, responsibilities, and
expectations between FansClique, its creators, and fans who use the platform. This contract
ensures a professional and transparent engagement, fostering a fair and secure environment for
both creators and fans. By using the FansClique platform, both parties agree to the terms and
conditions outlined in this document, which are designed to align with global standards and best
practices in the digital content industry.

1. Overview
FansClique is a subscription-based content-sharing platform that connects creators and fans in
a secure and supportive environment. Fans can subscribe to creators, access exclusive
content, engage through direct messages, and support creators via tips, pay-per-view content,
and more. Creators, in turn, use FansClique to share media, interact with their fanbase, and
earn revenue.
This contract governs:
- The expectations and rights of creators
who share content on the platform.
- The responsibilities of fans who engage with creators and access their content.
- The obligations of FansClique in facilitating a safe and seamless experience for all users.

2. Terms of Service Agreement
By signing up and using FansClique, both creators and fans agree to abide by the Terms of
Service as defined by the platform. This contract supplements the Terms of Service and
provides additional clarity on the relationship between fans and creators.
Creators and fans must:
- Be at least 18 years of age to access the platform, with creators being at least 21 to upload
content.
- Comply with all platform policies, including the Acceptable Use Policy, Privacy Policy,
DMCA Policy, and other relevant guidelines.

3. Creator Responsibilities
FansClique creators are the backbone of the platform, providing content and engaging with
fans. To ensure a professional and respectful interaction, creators are bound by the following
obligations:

3.1 content ownership and licensing

- Creators retain full ownership of the content they produce and upload to the platform. By
uploading content to FansClique, creators grant the platform a non-exclusive license to
display, distribute, and market their content within the platform.
- Creators are responsible for ensuring that all content complies with FansClique’s Acceptable
Use Policy, including age-appropriate verification, copyright adherence, and lawful conduct.
3.2 Interaction with Fans
- Creators must engage with fans in a respectful, professional manner. This includes responding
to direct messages, fulfilling promises made regarding paid content, and maintaining a
transparent relationship.
- Creators agree to provide the content they have promised, such as pay-per-view content or
subscription-based offerings, and must not mislead fans or fail to deliver on such commitments.
3.3 Revenue Generation
- Creators earn revenue through multiple streams, including subscriptions, tips, pay-per-view
content, paid direct messages, and referrals. FansClique provides creators with **80% of their
earnings, with FansClique retaining a 20% platform fee.
- Creators are responsible for setting fair prices within the limits of the clout-based pricing
system. Super Creators are given the ability to set higher price caps, ensuring more earning
potential for creators with significant clout and engagement.
3.4 Content Moderation and Accountability
- FansClique reserves the right to remove or moderate content that violates its policies. Creators
are responsible for ensuring that their content meets the platform’s ethical and legal standards.
- In cases of dispute, creators agree to follow the platform’s resolution procedures, including
complaints and appeals.

4. Fan Responsibilities
Fans are the consumers of content on FansClique, providing financial support and engagement
to creators. Fans are expected to adhere to the following terms:
4.1 Engagement with Creators
- Fans must engage with creators respectfully and refrain from any form of harassment, abuse,
or inappropriate conduct.
- Fans agree to abide by the Acceptable use policy' and avoid sharing, distributing, or
reproducing creator content outside of FansClique without explicit permission. Unauthorized
sharing of content is a violation of this contract and may result in account termination and legal
action.
4.2 Subscription and Payment Obligations
- Fans can subscribe to creators on a monthly basis or purchase pay-per-view content.
Subscriptions grant access to the content shared within that tier, while pay-per-view content
requires a one-time payment for specific media.
- Fans agree to make payments in full and are responsible for ensuring that their payment
methods are valid and up to date.
4.3 Dispute Resolution and Refunds
- FansClique does not generally offer refunds for subscriptions or pay-per-view content, except
in cases of clear fraud or failure to deliver the promised content.
- Fans are encouraged to resolve issues directly with creators through FansClique’s direct
messaging feature, but if unresolved, they may submit a complaint via the platform’s formal
process outlined in the Complaint Policy

5. FansClique’s Obligations
FansClique is responsible for maintaining a safe, reliable, and transparent platform for both fans
and creators. The platform commits to:
5.1 Secure Payment System
- FansClique operates a wallet-based payment system, where both fans and creators can
manage their balances securely. Fans add funds to their wallets, which they use to pay for
subscriptions, tips, and other services. Creators receive payments from their FansClique
wallets.
- The platform ensures the protection of payment information through secure encryption and
follows global financial compliance standards to avoid fraud or unauthorized transactions.
5.2 Moderation and Enforcement
- FansClique employs a combination of automated tools and human moderation to ensure that
all content complies with platform policies. The platform reserves the right to remove content,
suspend accounts, or take legal action against users who violate these policies.
5.3 Privacy and Data Protection
- FansClique is committed to protecting the personal information of both fans and creators. The
platform operates in full compliance with global privacy laws, including the General Data
Protection Regulation (GDPR) and relevant African privacy laws. Personal data will not be
shared with third parties without consent, except as required by law.

6. Copyright and Intellectual Property
6.1 Creator Copyright
- Creators retain full copyright over the original content they produce and upload to the platform.
Fans are prohibited from copying, sharing, or redistributing any content without the creator’s
explicit permission.
- FansClique provides a Digital Millennium Copyright Act (DMCA) takedown procedure for
creators to report any instances of copyright infringement. In response, the platform will act
swiftly to remove infringing content.
6.2 Fan Intellectual Property
- FansClique respects the privacy and contributions of its fans. Fan-submitted content, such as
comments, reviews, and messages, remains the intellectual property of the fan, but by
submitting this content to FansClique, the fan grants the platform a non-exclusive license to
display and distribute this content within the platform.

7. Termination of Contract
Either party, fan or creator, may terminate this contract by deactivating their account. However,
the following conditions apply:
For Creators: Upon termination, all content will be removed from the platform, but any ongoing
subscriptions will be fulfilled until the current billing period ends. Remaining funds in the
creator’s wallet will be paid out, subject to FansClique’s standard payout schedule.
For Fans: Upon termination, fans will lose access to any subscribed content. Refunds will not
be issued for any unused subscription period, except in cases of proven fraud or technical
issues.
FansClique reserves the right to terminate this contract and the associated account for users
who violate any terms of the contract, including content violations, payment fraud, or
harassment.

8. Governing Law and Dispute Resolution
This contract is governed by the laws of [Insert Jurisdiction]. Any disputes arising from the use
of the platform or this contract will be subject to the jurisdiction of the courts in [Insert Location].
Creators and fans are encouraged to resolve disputes through FansClique’s Complaint and
Appeals Process, but if unresolved, legal action may be pursued.

9. Amendments to the Contract
FansClique reserves the right to modify or update this Fans and Creators Contract at any time
in response to changes in the platform, legal requirements, or user feedback. Any changes will
be communicated to users via email or in-platform notifications, and continued use of the
platform after any updates constitutes acceptance of the new terms.
