FANS & CREATORS AGREEMENT

1. Overview

This Fans & Creators Agreement ("Contract") governs the relationship between Mediagaze Limited ("FansClique", "we", "us", or "our") — the company incorporated in England and Wales under Company No. 16645155, with its registered office at 61 Bridge Street, Kingston, HR5 3DJ, United Kingdom — its registered Creators, and Fans who access Content on the Platform.

By using FansClique, both Creators and Fans agree to this Contract, which supplements the Terms of Service and provides additional clarity on the Creator-Fan relationship. This Contract is designed to promote fairness, transparency, and compliance with international standards.

FansClique is a subscription-based, multi-creator content platform enabling Creators to share exclusive content with Fans in a secure environment. Fans may subscribe to Creators, purchase pay-per-view (PPV) content, send tips, and engage through direct messages.

2. Eligibility

All users — Creators and Fans alike — must:

  • Be at least 18 years of age;
  • Comply with FansClique's Acceptable Use Policy, Privacy Policy, Terms of Service, Creator Agreement (Creators only), and all other applicable platform policies;
  • Reside in a jurisdiction where use of FansClique does not violate applicable local law.

3. Creator Rights & Responsibilities

3.1 Content Ownership & Licensing

Creators retain full ownership of all original Content they upload. By uploading Content, Creators grant Mediagaze Limited a limited, worldwide, non-exclusive, royalty-free licence to display, distribute, and promote their Content within the Platform. This licence terminates when Content is removed, subject to legal retention obligations.

3.2 Fan Engagement

Creators must interact respectfully with Fans and deliver all promised content (including PPV items and subscription rewards). Misleading or fraudulent practices, including misrepresenting content, are prohibited.

3.3 Revenue & Platform Fees

Creators receive 75% of gross earnings from subscriptions, PPV, tips, and other monetised features. FansClique retains 25% as a platform fee covering hosting, security, compliance, and payment processing. Payouts are subject to FansClique's published payout schedule, minimum thresholds, and KYC/compliance requirements.

3.4 Consent & Age Verification

Creators are solely responsible for ensuring all persons featured in their Content are 18 years of age or older and have provided documented informed consent before upload. Records must be maintained and provided to FansClique upon request.

4. Fan Rights & Responsibilities

4.1 Respectful Conduct

Fans must interact with Creators and other users respectfully at all times. Harassment, abuse, threats, unsolicited contact, and intimidation are prohibited and may result in immediate account termination.

4.2 Content Use

Fans may access Creator Content for personal, non-commercial viewing only. Fans may not share, copy, screenshot, download, or redistribute Creator Content outside FansClique without explicit written authorisation from the Creator. Violations may result in account termination and legal action.

4.3 Payments

Fans agree to make timely payments using valid, authorised payment methods. Unauthorised chargebacks or fraudulent payment disputes may result in account suspension and recovery of disputed amounts.

4.4 Refund Policy & Cancellation Rights

By accessing digital content (subscriptions, PPV, tips) upon purchase, you expressly request immediate delivery and acknowledge that you lose your 14-day statutory cooling-off right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. Payments are otherwise non-refundable except in cases of fraud, technical failure on FansClique's part, or as required by applicable law. Fans should first contact the Creator to resolve disputes; unresolved issues may be escalated via FansClique's Complaint Policy.

5. FansClique's Obligations

5.1 Secure Payment System

FansClique operates a wallet-based payment system. Funds are securely stored and disbursed in accordance with global financial compliance standards including AML/CTF regulations. FansClique does not store full payment card details — all such data is processed by regulated Payment Providers.

5.2 Platform Moderation

FansClique uses automated and human moderation to enforce platform standards. Accounts may be suspended or terminated for violations. Child exploitation content is removed immediately and reported to law enforcement.

5.3 Privacy & Data Protection

FansClique complies with the UK GDPR, Data Protection Act 2018, NDPA/NDPR (Nigeria), and other applicable privacy regulations. Personal data will not be disclosed without consent, except as legally required. Full details are in the Privacy Policy.

6. Intellectual Property

6.1 Creator Copyright

Creators retain full copyright over their work. Unauthorised Fan distribution of Creator Content may result in account termination and legal action.

6.2 Fan-Submitted Content

Comments, reviews, and other user-submitted content remain the intellectual property of the Fan. By posting, Fans grant FansClique a limited, non-exclusive licence to display and distribute such content within the Platform.

7. Termination

7.1 Creator Termination

Upon account termination, uploaded Content will be removed. Active subscriptions run until their natural expiry. Remaining wallet balances are paid out per FansClique's payout terms, except where termination follows fraud, AML breach, or policy violation.

7.2 Fan Termination

Termination results in loss of access to subscriptions and Content. Refunds are not provided for unused subscription periods except where required by law. Where termination follows fraud, associated funds may be forfeited.

7.3 Platform-Initiated Termination

FansClique may terminate accounts for policy violations, fraud, unlawful conduct, or regulatory requirements. Certain obligations — intellectual property, payment liability, and dispute resolution — survive termination.

8. Governing Law & Dispute Resolution

This Contract is governed by the laws of England and Wales. Disputes are subject to the tiered resolution process in the FansClique Terms of Service: negotiation (30 days) → mediation → LCIA arbitration. Users are encouraged to use FansClique's Complaint Policy before pursuing legal remedies.

9. Amendments

FansClique may update this Contract to reflect legal, regulatory, or operational changes. Updates will be notified via email or in-Platform notice. Continued use constitutes acceptance of the updated terms.
